On Friday evening, October 9, Federal-Mogul Goetze (India) — a Tenneco group company and a maker of pistons, piston rings and valve-train components — filed a Regulation 30 intimation: its board, in a meeting that ran from 4:30 pm to 4:52 pm IST, approved capacity additions at three locations, which the filing lists as Bahadurgarh–Patiala (Punjab), Yelahanka–Bengaluru (Karnataka) and Bhiwadi (Rajasthan). The investment is ₹3,351 million, i.e. ₹335.1 crore, to be completed within 18 months and funded from internal accruals. The detail that frames the whole announcement sits in the filing's own capacity table: existing capacity utilization, annualized, is stated as 100%.

Two things stand out in that table. The heaviest proportional addition is in PVD steel ring sets (+26.3%) and pistons (+18.9%) — the core engine-component lines — while valve guides and seats, already the largest lines by volume, get single-digit top-ups. And the engine-valve line is new: the filing lists no existing capacity for it, so this is a product addition, not just a debottlenecking. The filing does not break the ₹335.1 crore down by location or line, name customers, or quantify the demand it cites — "growth in demand and improving manufacturing footprint in India" is the full stated rationale.
₹523 crore out in September, ₹335 crore of capex now — both from its own balance sheet
The internal-accruals funding choice is more notable given what the company just paid out. On August 27 the board declared an interim dividend of ₹7.50 and a special dividend of ₹86.50 per share — ₹94 per ₹10-face-value share, record date September 4, payable by September 25. On 5,56,32,130 shares outstanding, that works out to roughly ₹523 crore leaving the company. Approving a further ₹335.1 crore of self-funded capex six weeks later suggests the balance sheet still has room after the payout — though the filing itself says nothing about cash balances, and Q1 FY27 results predate the dividend.
The three-month tape is really one episode: the dividend. The stock jumped +10.6% on August 25 (the first session after the board-meeting intimation, on 2.08 crore shares traded against tens of thousands on a typical prior day) and another +10.4% on August 28 after the ₹94 payout was declared, running to the 52-week adjusted high of ₹640.95 on August 31. On September 4 — the record date — it fell ₹112.25, −18.3%, a drop close to the ₹94 per share being paid out, and drifted back to the low-440s. At Friday's ₹443.20 close the stock sits 30.9% below the August high, but 8.2% below its August 24 pre-dividend-news close — the round trip is mostly the payout, not a collapse in the business.
What 100% utilization produces today
Q1 FY27 (quarter ended June 30, 2026; results approved August 12) is the most recent read: consolidated revenue of ₹526.27 crore, up 8.8% on Q1 FY26's ₹483.67 crore, with net profit of ₹45.33 crore — essentially flat year-on-year against ₹45.15 crore — as operating margin eased to 12.8% from 14.6% and interest cost rose to ₹2.38 crore from ₹0.95 crore. Revenue grinding up each quarter while the filing reports every line at full utilization is consistent with the expansion's stated rationale: without new capacity, the growth has a ceiling. Whether the margin dip is mix, input costs or something else, the pack's filings don't say.

Management is, in effect, disclosing that demand has outrun its plants and that it can pay for the fix itself.
What the filing does not provide is the other half of the investment case: no revenue potential for the added capacity, no customer or segment detail, no location-wise split of the spend.
