On October 21, GOCL Corporation filed the notice for an NCLT-convened meeting of its equity shareholders, which will be held on Tuesday, November 24, 2026 at 11:00 a.m. IST, through video conferencing, as directed by the National Company Law Tribunal, Amaravati Bench, by order dated October 8, 2026, to consider the proposed Scheme of Merger by Absorption of Hinduja National Power Corporation Limited (HNPCL) into GOCL under Sections 230 to 232 of the Companies Act, 2013. A meeting of the company's unsecured creditors has been convened for the same day. The vote arrives with the stock at ₹347.30 — 24.6% below its 52-week adjusted high of ₹460.80 set on September 18 — and it caps a ten-month procedural journey that at one point looked blocked.
The road to November 24
GOCL's board approves a Scheme of Merger by Absorption of HNPCL with and into the company, subject to statutory and regulatory approvals and NCLT sanction.
After no-objection letters from the stock exchanges and filing of the scheme, the NCLT, per the company's results note, "while not acceding approval had made certain observations". GOCL appeals to the NCLAT.
The NCLAT, Chennai allows the appeal and sets aside the NCLT order, directing the NCLT Amaravati Bench on passing orders for convening the shareholder meeting and appointing a chairperson and scrutinizer.
The NCLT issues an order directing the company to convene meetings of its equity shareholders and unsecured creditors to approve the proposed scheme.
The board takes the order on record alongside Q2 FY27 results; the meetings are set for November 24, 2026 at 11:00 a.m. IST via video conferencing.

Board takes Q2 FY27 results on record and notes the NCLT order fixing the Nov 24 meetings
At its meeting of October 19, the board approved the unaudited standalone and consolidated results for the quarter and half year ended September 30, 2026, and noted the NCLT order dated October 8, 2026 directing the convening of meetings of the company's equity shareholders and unsecured creditors in connection with the Scheme of Merger by Absorption of HNPCL with GOCL. The board considered that the NCLT-convened meetings shall be held on Tuesday, November 24, 2026 at 11:00 a.m. IST through video conferencing.
Read:This filing is where the merger acquired a fixed voting date. The results themselves add a caveat the market now has to carry: "Pending the requisite regulatory approvals, no effect of the scheme has been given" in the financial statements — the numbers shareholders are looking at are pre-merger numbers.
BSE filing, Oct 19, 2026 — Q2 FY27 results and merger updateNotice for the NCLT-convened meeting of equity shareholders filed
Further to its letter of October 19, GOCL filed the notice convening the meeting of equity shareholders pursuant to the proposed Scheme of Merger by Absorption of HNPCL (Transferor Company) into GOCL (Transferee Company) and their respective shareholders, under Sections 230 to 232 of the Companies Act, 2013 — as directed by the NCLT, Amaravati Bench order dated October 8, 2026. The meeting is on Tuesday, November 24, 2026 at 11:00 a.m. IST through video conferencing.
Read:The notice and its explanatory statement are the operative documents: they carry the scheme's terms that shareholders are being asked to approve. The filing reached the exchange at 5:16 p.m. on October 21, after market close — its first tradable session falls outside this report's price window.
BSE filing, Oct 21, 2026 — notice for NCLT-convened meetingTwo mechanics are worth keeping precise. First, the tribunal path: the NCLT's July 30 order dismissed GOCL and HNPCL's First Motion Company Scheme Application on three grounds — the scheme's appointed date (April 1, 2025) was more than a year before the application was filed without adequate justification, "certain discrepancies were noted in the financial statements, annual reports and other documents filed along with the Scheme Application," and the application was filed belatedly (the NCLAT noted the delay followed exchange/SEBI observations that were received only in May 2026, with the application filed June 22, 2026); the NCLAT then allowed GOCL's appeal on September 25 and set that order aside, and the NCLT's October 8 order now directs the meetings be convened. Second, the scheme is not yet done after a yes vote: the December 2025 board approval was "subject to requisite statutory and regulatory approvals and sanction of the Hon'ble National Company Law Tribunal", and the Q2 statements give the scheme no effect pending those approvals. The exchange filings summarised here do not themselves set out the share-exchange terms — those sit in the meeting notice and explanatory statement that shareholders will vote on.
The vote asks shareholders of a company with a ₹1,721.7 Cr market cap to absorb an entity behind whose borrowings GOCL already stands guarantor for ₹1,096.1 Cr.
What GOCL looks like going into the vote
GOCL's continuing operations today are two small segments — Electronics Manufacturing Services and Realty. The explosives businesses the company is still associated with are, per its own filings, discontinued: the board decided on November 28, 2024 to cease the detonators and other blasting devices manufacturing operations at Kukatpally, Hyderabad (now presented as a discontinued operation with assets held for sale), and IDL Explosives Limited was reclassified under discontinued operations till its date of sale, November 15, 2025. In Q2 FY27 the two continuing segments produced ₹4.11 Cr of revenue from operations and a combined segment loss of ₹2.09 Cr (₹209.47 lakh) before tax and finance costs — while consolidated net profit was ₹40.50 Cr. The gap is other income.
PBT is for continuing operations; net profit includes discontinued operations. Q2 FY27 total income of ₹66.76 Cr includes other income of ₹62.65 Cr. Source: exchange filings.
The segment table makes the income mix explicit: of Q2 FY27's ₹66.76 Cr total income, ₹62.67 Cr is unallocable income — not EMS, not Realty. The standalone balance sheet shows where it comes from: ₹2,348.90 Cr of loans sitting in current assets and ₹172.89 Cr of cash and equivalents at September 30, with standalone interest income of ₹97.48 Cr in the first half. Behind that treasury is land. Of the 264.50-acre Kukatpally property under the March 2024 MoU with Squarespace Builders — total consideration ₹3,418 Cr (₹3,41,800 lakh) — 157.21 acres had been monetised by September 30, with a further ₹111.68 Cr (net) received as advance during the quarter; a separate agreement signed March 27, 2026 would sell the Bengaluru "Ecopolis" property to SPVs of Tata Realty and Infrastructure for roughly ₹815 Cr (₹81,500 lakh), with conditions precedent still pending. Shareholders also just received a ₹30-per-share final dividend (1500% on the ₹2 face value, ₹148.72 Cr in aggregate), paid after the quarter closed. This — a cash-and-land balance sheet with vestigial operating segments — is the entity into which HNPCL would be absorbed.
GOCL's existing exposure to HNPCL
HNPCL is not a stranger arriving by scheme — the filings already tie the two companies together financially. GOCL's results carry an auditor's Emphasis of Matter on corporate guarantees aggregating ₹1,316.1 Cr (₹1,31,610 lakh): ₹1,096.1 Cr (₹1,09,610 lakh) extended to HNPCL in an earlier year and ₹220 Cr (₹22,000 lakh) to Hinduja Energy India Limited in December 2025, in respect of borrowings those entities availed from banks and financial institutions, secured by a charge on GOCL's own immovable properties. The filings state these guarantees "were not processed as Related Party Transactions" and prior approval of the audit committee, board and shareholders was not obtained as required; they were ratified on May 29, 2026, post-facto shareholder approval came by postal ballot on July 7, 2026, and the company says it is in the process of making necessary applications to the regulatory authorities. The second tie runs through the Kukatpally land itself.
Part of the balance land is under mortgage obligation by the Company as security for the loan availed by Hinduja National Power Corporation Limited (HNPCL). HNPCL has repaid most of loan and is in discussion with its lender to release the land from the obligation. Upon release, monetization of the remaining land will be expedited.
— BSE filing, September 16, 2026
The tape has not treated the tribunal wins as wins. From the September 21 close of ₹453.45 to October 21's ₹347.30, the stock is down 23.4%. The largest single move in that stretch — September 22's −9.4% — coincided with the record date for the ₹30-per-share final dividend, a payout worth about 6.6% of the prior close, which plausibly accounts for much of that one session. But the merger milestones themselves drew flat-to-negative first-session responses: −1.3% on September 28 after the NCLAT allowed the appeal, −0.3% on October 9 after the NCLT ordered the meetings convened, and −5.8% on October 21, the first session after the results filing that fixed the November 24 date. Whether that reflects a view on the scheme's terms or broader positioning is not something the filings can settle; what the data shows is that each step bringing the merger closer has been met with selling, not buying.
The checkpoints from here
Nov 24 vote
Outcomes of the NCLT-convened meetings of equity shareholders and unsecured creditors — the scheme needs their approval to proceed.
Scheme terms
The meeting notice and explanatory statement carry the operative terms of the absorption — the documents to read before the vote.
Approvals after the vote
The scheme remains subject to requisite statutory and regulatory approvals and NCLT sanction; the Q2 statements give it no effect pending these.
Kukatpally mortgage release
Per the September 16 filing, HNPCL has repaid most of the loan secured by part of GOCL's balance land; release would let monetisation of the remainder of the 264.50 acres (157.21 sold so far) be expedited.
Ecopolis completion
The ~₹815 Cr Bengaluru property sale to Tata Realty SPVs was awaiting completion of conditions precedent as of the Q2 results.
Guarantee regularisation
The company says it is making necessary applications to regulatory authorities on the ₹1,316.1 Cr of guarantees flagged in the auditor's Emphasis of Matter.
November 24 turns a year of process into a decision. The filings establish the shape of that decision clearly: a company whose continuing operations generated ₹4.11 Cr of revenue last quarter, whose profits flow from a land-fed treasury, and which already stands guarantor for ₹1,096.1 Cr of HNPCL's borrowings, is asking its shareholders to absorb HNPCL outright. The terms of that absorption live in the meeting notice and explanatory statement, and the vote — equity shareholders and unsecured creditors on the same day — is the first of several gates, with regulatory approvals and NCLT sanction still to follow.
The market's running verdict has been cautious: each procedural milestone since late September has been followed by a flat or negative first session, and the stock enters the vote 24.6% below its 52-week high. The data to watch next is binary and dated — the November 24 outcomes — and the filings that follow them will show whether the scheme clears its remaining approvals in the form shareholders were asked to endorse.
