Golden Legand Leasing & Finance, a Navi Mumbai non-banking financial company with a market capitalisation of roughly ₹9.8 crore, filed its September-quarter results on October 21 at 10:49 pm, after a board meeting that ran from 4 pm to 8 pm. The quarter's own numbers are small — ₹7.05 crore of revenue, a ₹0.17 crore net profit. The document that matters is the one stapled to them: the statutory auditor's limited review report, which carries a qualified conclusion over a lien on the company's bank account that is several times larger than the company itself.
A qualified review over a ₹7,681.09 lakh lien
Q2 FY27 results approved; limited review report carries a qualified conclusion
The board approved unaudited standalone and consolidated financial results for the quarter and half year ended September 30, 2026. Statutory auditor H. Rajen & Co.'s limited review report states a Basis for Qualified Conclusion: the company had detected suspicious transactions undertaken by a sub-merchant aggregating ₹10,500.00 lakh (₹105.0 crore), subsequently reduced to ₹7,681.09 lakh (₹76.81 crore) following voluntary settlement of smaller individual claims, without admission of any wrongdoing or primary liability on the part of the company. The company's bank account continues to remain under lien imposed by the investigating authorities to that extent.
Read:The review report notes this is the same matter already reported in Note 4 to the FY26 annual financial results — the underlying matter is recurring, not new. What this filing adds is the current figure and status: sub judice before the Supreme Court of India and other courts, with the company pursuing legal remedies.
BSE filing, Oct 21, 2026The mechanics, as the filing states them: the company detected the suspicious transactions and attributes them to a sub-merchant; the headline amount came down from ₹10,500 lakh to ₹7,681.09 lakh through voluntary settlement of smaller individual claims, which the filing is careful to frame as made without admission of wrongdoing or primary liability. The lien on the bank account was imposed by investigating authorities and remains in place at the reduced figure. The filing does not name the authorities, the sub-merchant, or the nature of the underlying transactions.
The Company's bank account continues to remain under lien imposed by the investigating authorities to the extent of Rs. 7,681.09 lakhs. The matter is presently sub judice before the Hon'ble Supreme Court of India and other competent courts of law.
— Limited Review Report, H. Rajen & Co., October 21, 2026
The scale is the story. At Thursday's close of ₹6.60 on 1.49 crore shares outstanding, the whole company is worth about ₹9.8 crore. The amount under lien — ₹76.81 crore — is roughly 7.8 times that. This is an arithmetic observation, not a liability estimate: the filing asserts no primary liability on the company's part, and a court outcome could release the lien entirely. But it means the range of outcomes in a sub judice matter is far wider than anything the P&L itself can produce — which is presumably why a quarter with a positive net profit was still sold 6.8% the next morning.
Revenue down 90.8% year on year; a tax credit makes the bottom line
Standalone figures as filed; Q2 FY27 consolidated results are identical to standalone. Negative tax = credit.
Two things stand out in the table. First, Q2 FY27 revenue of ₹7.05 crore is down 90.8% from ₹76.70 crore in the same quarter last year — and the FY26 quarters themselves were an anomaly, running ₹35.95–76.70 crore against ₹3.32 crore in Q2 FY25 and ₹7–9 crore now. The filings covered in this report do not explain that swing. Second, the reported ₹0.17 crore net profit exists only because of the tax line: a pre-tax loss of ₹1.44 crore was more than offset by a ₹1.61 crore tax credit. Operationally, the quarter was a loss.
The tape was already weak before the filing. The adjusted 52-week high of ₹15.21 was set on February 6; the 52-week low of ₹5.59 came on October 21 — the very day the results were filed — and Thursday's ₹6.60 close sits 56.6% below that February high. One more structural fact from the shareholding pattern: promoter holding is 0.00% as of June 30, 2026 (and was also zero on March 31), with no FII or DII holdings — the entire 1.49 crore shares sit with the public. There is no promoter balance sheet behind this company.
The filings that would change the picture
Court proceedings
The matter is sub judice before the Supreme Court and other courts. Any order releasing, reducing or enforcing the ₹7,681.09 lakh lien changes the balance-sheet picture directly — in either direction.
Next review report
Whether the Q3 FY27 limited review repeats the qualification, and whether the figure moves again — it has already come down from the ₹10,500 lakh originally detected via settlements.
Revenue run-rate
Whether the H1 FY27 pace (₹16.26 crore of revenue) holds, and whether any filing explains the collapse from FY26's much larger quarters.
Oct 26
The trading window for insiders reopens Monday, October 26, per the board-meeting outcome.
What is established: the board approved Q2 FY27 results showing ₹7.05 crore of revenue and a ₹0.17 crore net profit that rests on a tax credit; the statutory auditor qualified its limited review over a ₹7,681.09 lakh lien on the company's bank account tied to suspicious sub-merchant transactions; the matter is before the Supreme Court; and the qualification repeats one already made in the FY26 annual results. The market's response — a 6.8% fall to within sight of the 52-week low — priced the qualification, not the quarter.
The auditor's own framing is worth keeping in mind: a limited review provides less assurance than an audit, and no audit opinion is expressed. With a ₹9.8 crore market cap, zero promoter holding, and a disputed amount nearly eight times the company's value riding on court outcomes, the range of outcomes here is unusually wide for any position size. The next data points are legal, not financial.
