The largest piece of the FIH Mauritius investment in IIFL Capital Services moved from paperwork to shares on November 4. The company's Preferential Issue Committee, meeting from 1:30 p.m. to 1:50 p.m., allotted 5,71,42,857 fully paid-up equity shares of face value ₹2 at ₹350 per share to FIH Mauritius Investments Ltd — an aggregate of ₹1,999,99,99,950, i.e. just under ₹2,000 crore. This was not new news in the strategic sense: the board had approved exactly this issue on May 7, 2026, under an investment agreement of the same date. What changed is that the shares now exist, and the capital base is 18.1% larger.

Preferential allotment of 5,71,42,857 shares to FIH Mauritius at ₹350

The Preferential Issue Committee, 'pursuant to the receipt of all applicable regulatory/statutory approvals', approved the allotment of 5,71,42,857 equity shares of face value ₹2 at an issue price of ₹350 per share, aggregating ₹1,999,99,99,950, to FIH Mauritius Investments Ltd by way of a preferential issue on a private placement basis. The terms follow the investment agreement dated May 7, 2026 among the company, the investor, Nirmal Bhanwarlal Jain and Venkataraman Rajamani. Paid-up capital rises from 31,55,32,512 to 37,26,75,369 shares; the new shares will be listed on BSE and NSE.

Read:The filing completes the issue the board approved on May 7, 2026. The subscription shares alone work out to 15.3% of the enlarged capital, and every existing holder's percentage stake is proportionately smaller — the ownership structure of the company has changed in one committee meeting.

BSE filing, Nov 4, 2026 — Regulation 30 allotment announcement

The mechanics, as the filing states them: the issue was made under Chapter V of the SEBI ICDR Regulations and the Companies Act, on a private placement basis, in furtherance of the company's earlier intimation of May 7, 2026. The allotment happened only after 'all applicable regulatory/statutory approvals' were received — the filing trail shows what those were: the Competition Commission of India approved FIH Mauritius's proposed investment on September 22, 2026, and SEBI issued final observations for the related open offer via a letter dated September 10, 2026, with an extension for opening the offer granted on October 30, 2026.

The dilution arithmetic follows directly from the filed share counts. Pre-issue capital was 31,55,32,512 shares; post-issue it is 37,26,75,369. The 5,71,42,857 subscription shares are a 15.3% stake in the enlarged company from this issue alone, and the share count expands 18.1%. Two computed consequences — labelled as computations, since no filing states them: if the promoter holding is unchanged from the 9,61,43,214 shares reported as of June 30, 2026 (30.67% then), it now stands near 25.8% of the enlarged capital; and at the November 4 close of ₹349, the enlarged share count implies a market value of roughly ₹13,006 crore, versus about ₹10,939 crore on the pre-allotment count.

The approval trail

Six months from agreement to allotment

  1. Board approves the issue of 5,71,42,857 shares to FIH Mauritius; investment agreement signed the same day among the company, FIH Mauritius, Nirmal Bhanwarlal Jain and Venkataraman Rajamani.

  2. SEBI issues final observations for the open offer (letter dated Sep 10; disclosed Nov 2). Certain statutory approvals were still pending at the time, so the offer's opening was deferred.

  3. Competition Commission of India approves FIH Mauritius's proposed investment in the company (disclosed Sep 23).

  4. Letter of Offer for the open offer filed with BSE (pre-open).

  5. SEBI approves an extension for opening the open offer, via its letter of this date.

  6. Preferential Issue Committee allots the 5,71,42,857 subscription shares at ₹350; paid-up capital rises to 37,26,75,369 shares.

The preferential issue is one of three components in Fairfax's move to acquire up to 51% of the company, alongside an open offer to public shareholders and arrangements with the existing promoters. The open offer is made by FIH Mauritius Investments Ltd as acquirer with HWIC Asia Fund (Class A Shares) as the person acting in concert, under the SEBI Substantial Acquisition of Shares and Takeovers Regulations, with ICICI Securities as Manager to the Offer. That offer is live and separate from today's allotment: the manager's updates filed on November 3 and November 4 state that nil equity shares — 0.00% of the offer size — had been tendered in the open offer escrow demat account as of those updates. Early nil-tendering figures say little by themselves; the daily updates will show whether public shareholders choose to participate.

The market's response to completion was muted: the stock closed at ₹349 on November 4, up 0.3% on the session in which the 2:10 p.m. filing landed — and one rupee below the ₹350 issue price. The sharper move in the window came on September 23, when the CCI approval was disclosed mid-session and the stock closed +2.3% at ₹353.05 on 24.1 lakh shares. The stock sits between its adjusted 52-week extremes of ₹240.4 (March 30) and ₹411.3 (January 7). Volume has been telling its own story: October 29 — the day the Letter of Offer was filed — saw 77.1 lakh shares traded, the heaviest session in the window, including a disclosed bulk sale of 31,24,131 shares at ₹348.01 by Theleme India Master Fund Limited; November 3 traded another 30.1 lakh shares.

Q2 FY26572.08119.985.152.72

Quarter ended Sep 30, 2026 results approved by the board on Oct 28, 2026.

The quarter ended September 30, 2026 — approved by the board on October 28 — showed consolidated revenue of ₹714.40 crore, up 24.9% on the ₹572.08 crore of the year-ago quarter, with net profit of ₹126.61 crore against ₹85.15 crore, a 48.7% rise. The same October 28 board meeting approved two structural items beyond the results: the incorporation of a wholly-owned subsidiary to undertake NBFC business, subject to regulatory approvals, and a leadership succession — Vasudev Jagannath appointed Whole-time Director, to be re-designated Managing Director from January 1, 2027, subject to shareholder and regulatory approvals. The new capital, the new NBFC vehicle and the new ownership structure all land within the same quarter; the filings do not state how the ₹2,000 crore will be deployed.

What to watch

The next filings that change the picture

  • Open offer take-up

Manager updates on Nov 3–4 report nil shares (0.00% of the offer size) tendered so far. The daily updates from ICICI Securities will show whether public shareholders tender.

  • Listing of new shares

The 5.71 Cr subscription shares are to be listed on BSE and NSE 'in accordance with applicable law' — the listing confirmation makes the enlarged capital tradeable.

  • Shareholding pattern

The next quarterly pattern will record the post-allotment structure — promoter percentage (30.67% as of Jun 30 on the old base) and FIH Mauritius's holding on the new 37.27 Cr share base.

  • NBFC subsidiary

Approved Oct 28, subject to regulatory approvals — incorporation and licensing filings would show what the enlarged balance sheet is for.

  • MD transition

Vasudev Jagannath's re-designation as Managing Director takes effect January 1, 2027, subject to shareholder and regulatory approvals.

The November 4 allotment converts a six-month-old agreement into shares on the register: FIH Mauritius Investments Ltd has paid just under ₹2,000 crore for a 15.3% slice of the enlarged IIFL Capital Services, at ₹350 a share — almost exactly where the stock closed the same day. Because the issue was announced on May 7 and cleared the CCI in September, the completion itself moved the price only 0.3%; the repricing, to the extent there was one, happened over the preceding months.

What remains open is the second leg. The open offer to public shareholders — with its nil tendering so far — and the next shareholding pattern will together determine how the new ownership structure settles. Alongside the planned NBFC subsidiary and the January management transition, the filings describe a company whose capital, structure and leadership are all changing at once; subsequent disclosures will show what the enlarged capital base is put to work on.
