On October 5, after market close, Imagicaaworld Entertainment signed a binding Memorandum of Understanding to sell Hotel Novotel Imagicaa — described in the filing as the operating hotel undertaking of the company, located at Khopoli, Maharashtra — to Juniper Hotels for a lumpsum ₹248 crore. This was not a surprise: both boards approved the transaction in principle on September 16, and the company issued a press release about it the next day. The October 5 filings convert that in-principle approval into a binding agreement. Imagicaaworld closed the next session up 2.0% at ₹50.00; Juniper added 0.6% to ₹218.36.

Both boards approve the hotel sale in principle at ₹248 Cr

Imagicaaworld's board, meeting on September 16, approved in principle the sale of Hotel Novotel Imagicaa as a going concern on a slump sale basis. The same day, Juniper Hotels' board approved the acquisition at the same ₹2,48,00,00,000 consideration, subject to tax deduction at source, stamp duty, transaction costs and other adjustments, and to definitive documents. Imagicaaworld's filing reached the exchange at 15:29 IST — one minute before the close — so most of that session's +5.1% move preceded the filing's publication.

Binding MoU signed: Novotel Imagicaa to Juniper Hotels for ₹248 Cr

Imagicaaworld entered into a binding MoU with Juniper Hotels for the sale, transfer, assignment and/or conveyance of the hotel as a going concern on a slump sale basis (within the meaning of Section 2(103) of the Income-tax Act, 2025). The transaction remains subject to definitive documents — a deed of conveyance, business transfer agreement, asset purchase agreement and/or slump sale agreement — and to shareholder approval under Section 180(1)(a) of the Companies Act, 2013 and Regulation 37A of SEBI LODR, to be sought through postal ballot. Both sides state the counterparty is not related to their promoter group and that this is not a related-party transaction.

Read:Binding, but conditional. The filing fixes the obligation to transact; the postal ballot and the definitive documents are the remaining gates before the ₹248 Cr moves.

Imagicaaworld BSE filing, Oct 5, 2026

The company's own framing of the deal came in its September 17 press release, titled "Imagicaaworld Entertainment Announces ₹248 Crore Hotel Transaction, Unlocking Significant Value": the transaction unlocks growth capital, strengthens focus on the high-margin park business and supports the next phase of expansion. The filings do not state a specific application of the ₹248 crore beyond that framing — the use of proceeds is a stated intent, not a committed schedule.

The sale lands amid a cluster of capital events on the seller's side. On September 24, the board allotted 2,34,82,500 equity shares at ₹73.50 each on conversion of warrants originally allotted in March 2025 — the company's press release called it 100% conversion at a premium to the then market price. Promoter entity Malpani Parks Private Limited converted 1,70,06,800 of those warrants for ₹125.00 crore, with its disclosed promoter holding moving from 74.020% to 73.950%. A week earlier, on September 15, the company issued an ₹85 crore corporate guarantee securing an HDFC Bank term loan to Malpani Parks Indore Private Limited, a wholly owned subsidiary. Taken together — warrant money in, hotel sale signed, guarantee for a subsidiary's borrowing — the filings suggest capital being marshalled toward the parks business, though that reading is an inference; the filings themselves state only the individual transactions.

The buyer's side

A ₹4,850 Cr hotelier adding an operating asset near Mumbai

For Juniper Hotels (market cap ≈ ₹4,850.6 crore on 22.25 crore shares at ₹218), the ₹248 crore purchase is ≈5.1% of its market cap, paid without any share issuance. Its filing describes the asset as an operating hotel "strategically in close proximity to Mumbai" — approximately 11 acres, roughly 2,80,000 sq ft of built-up area, 287 guest rooms with restaurants, banquet and meeting facilities. That works out to about ₹86.4 lakh per room (computed from the filing's numbers). The deal extends an expansion run: on August 12, Juniper's wholly owned subsidiary executed a license deed with the Delhi Development Authority for a 5-star luxury hotel at Dwarka Sector 23, which the company's August 14 media release sized at ₹850 crore for a ~550-key property. Juniper reported Q1 FY27 consolidated revenue of ₹249.53 crore and net profit of ₹33.26 crore.

The tape's most striking move came before any sale disclosure. On August 27, the stock closed at ₹60.21 — up 20.0% on the day on 3.42 crore shares, against volumes mostly under 0.1 crore in the preceding weeks — and the adjusted 52-week high of ₹61.87 printed the next session. BSE and NSE sought a clarification on the price movement by email dated August 28; the company replied on August 30 that it had made all required disclosures and was not aware of any undisclosed price-sensitive information or impending announcement. The in-principle sale was announced on September 16 — the filing itself hitting the tape at 15:29 IST, a minute before that session's close at ₹52.99. From the August high the stock has drifted to ₹49.93, 19.3% below it, with the binding MoU worth +2.0% on October 6.

The financials

A seasonal P&L — the hotel was 15.9% of revenue, 7.3% of networth

QuarterRevenueNet profitOPM
Q1 FY27 (Apr–Jun 26)177.657.5750.99%

Q2 FY26 (Jul–Sep 25)41.81-38.91-20.8%
Q1 FY26148.144.3148.35%

As filed on the exchange. The filings in this pack do not break out the hotel undertaking's revenue or profit contribution.

The P&L is sharply seasonal: the April–June quarter carries the year (Q1 FY27 revenue of ₹177.60 crore with ₹57.57 crore of consolidated net profit, a 51.0% OPM), while the monsoon quarter a year earlier produced a ₹38.91 crore consolidated loss on ₹41.81 crore of revenue. The September 16 filing's Annexure A discloses the hotel undertaking's own FY2025-26 standalone contribution: ₹57.02 crore of revenue, 15.9% of total operating revenue, and ₹96.74 crore of networth, 7.3% of the company's networth. For scale, the ₹248 crore consideration exceeds the company's best quarter of consolidated revenue. The Q2 FY27 results — board meeting date yet to be intimated, trading window closed from October 1 until 48 hours after the results are declared — will still carry the hotel's contribution, since the binding MoU was signed only on October 5 and completion is estimated on or before March 31, 2027; a parks-only P&L arrives only after completion, with any use-of-proceeds detail more likely set out in the postal ballot notice.

What to watch

The gates between MoU and money

  • Definitive documents

The MoU binds the parties but the transfer happens under a deed of conveyance / business transfer / asset purchase / slump sale agreement. Juniper's filing says it expects to execute them shortly and will disclose when done.

  • Postal ballot

    IMAGICAA

Imagicaaworld needs shareholder approval under Section 180(1)(a) and Regulation 37A via postal ballot. Promoters held 74.02% as of June 30, 2026; the notice and outcome will be separate filings.

  • Q2 FY27 results

Board meeting date to be intimated (trading window closed from Oct 1). The next results disclosure ahead of completion (est. on or before Mar 31, 2027) — still including the hotel — with possible management commentary on planned use of the ₹248 Cr.

  • Juniper's capital outlay

    JUNIPER

₹248 Cr for Khopoli alongside the ₹850 Cr Delhi development disclosed in August — watch how the buyer funds and sequences both.

What is verified: a binding MoU at ₹248 crore, pre-announced on September 16, with mutually consistent disclosures from both listed parties; a slump sale of a going concern, no related-party overlap, no share issuance by the buyer; and a consideration equal to roughly 8.7% of the seller's market cap and 5.1% of the buyer's. What is pending: the definitive documents and a postal ballot on the seller's side.

The hotel's FY2025-26 standalone contribution is disclosed — ₹57.02 crore of revenue (15.9% of operating revenue) and ₹96.74 crore of networth (7.3%) — so the open analytical question is not what the hotel contributed, but what the parks-only P&L looks like after the transfer and how the ₹248 crore proceeds get deployed. Until the Q2 FY27 results or the postal-ballot notice add disclosure, the data supports the transaction's terms but not yet a view on its post-sale earnings trajectory.
