On September 29, 2026, at 15:44 IST — fourteen minutes after the close — Indo Borax & Chemicals informed the exchanges of the completion of its acquisition of 64.26% of the share capital of Kronox Lab Sciences Limited. That closes out a transaction first announced on August 20, when the board approved a share purchase agreement for 2,38,44,000 Kronox shares in a filing captioned Acquisition and Open Offer. Forty days from announcement to completion, one funding filing in between, and a stock that has held most of the 14.8% it added on announcement day.
Three filings, forty days
Board approves SPA for 64.26% of Kronox Lab Sciences
The board, at its meeting on Thursday, August 20, approved execution of a share purchase agreement amongst the company, the sellers and Zenrock Chemicals Private Limited (ZCPL) for the acquisition of 2,38,44,000 equity shares of face value ₹10 each of Kronox Lab Sciences Limited — 64.26% of the target's share capital — from the promoters. The board outcome was captioned "For Acquisition and Open Offer". A press release filed the same day was titled "Indo Borax to acquire 64.26% stake in Vadodara-headquartered listed speciality chemicals player Kronox Lab Sciences".
Read:A 64.26% purchase is majority control of a listed company, and the filing itself pairs the acquisition with an open offer — meaning Kronox's public shareholders enter the picture alongside the selling promoters. The SPA states an aggregate consideration of ₹246.12 crore, at ₹103.22 per share (₹105.87 per share inclusive of transition-support consultancy fees).
BSE filing — Acquisition, Aug 20, 2026Funding availed from a lending institution for the acquisition
The company informed the exchanges it had "availed funding from a lending institution for the purpose of financing the acquisition of equity shares of Kronox Lab Sciences Limited". The filing reached the exchange at 15:45 IST, after the close. No amount is stated in the cited text.
Read:Indo Borax's Q1 FY27 P&L shows interest expense of just ₹0.05 Cr, so this filing suggests borrowing is entering a balance sheet that has been carrying essentially none — how much, the disclosures to come should show.
BSE filing — Availment of funding for acquisition, Sep 24, 2026Completion of the acquisition of 64.26% of Kronox
The company filed the "Completion of the acquisition of 64.26% of the share capital of Kronox Lab Sciences Limited", signed by director Sunil Malhotra. The filing reached the exchange at 15:44 IST on Tuesday, September 29 — after the close, so the first session in which it could be traded is September 30.
Read:The control transaction announced on August 20 is now done. Monday's and Tuesday's price action preceded this filing's arrival at the exchange and cannot be read as a reaction to it.
BSE filing — Updates on Acquisition (completion), Sep 29, 2026What the filings establish: the sellers are Kronox's promoters, the SPA runs amongst Indo Borax, those sellers and Zenrock Chemicals Private Limited, and the announcement was made jointly with an open offer. The consideration paid was ₹246.12 crore, at ₹103.22 per share. What the filings leave open, at least in the portions cited here: the size of the acquisition borrowing and the open offer's price and timetable. For a company whose entire market value is about ₹1,567 Cr — 3.21 crore shares at ₹488.40 — the size of that borrowing matters, and it is the obvious next disclosure to watch.
One repricing, then a hold
The announcement did the repricing in a single session: from ₹433.85 on August 19 to ₹498.15 on August 20, a +14.8% move on 61 lakh shares against volumes that had been running under 1.5 lakh in the preceding sessions. The stock then held a ₹483–516 band through early September before drifting to ₹451.00 by September 25. The last two sessions are worth reading carefully: Monday, September 28 added +5.9% on 82.3 lakh shares — the heaviest volume since announcement day — and Tuesday added +2.3% to ₹488.40. Both moves came before the completion filing reached the exchange at 15:44 IST on Tuesday; the only other filing in that window was a routine trading-window closure on Monday evening. The completion itself gets its first tradable session on September 30. At ₹488.40 the stock sits 10.0% under its adjusted 52-week high of ₹542.55 and 12.6% above where it closed the evening before the deal broke.
The buyer's P&L going into the deal
Q2 FY26 includes an exceptional item of ₹9.35 Cr. Source: exchange filings.
The buyer comes into this transaction from a strong quarter: Q1 FY27 consolidated revenue of ₹70.36 Cr grew +31.3% over Q1 FY26's ₹53.57 Cr, and net profit of ₹16.25 Cr grew +59.3%, at a 28.1% operating margin. Interest expense in that quarter was ₹0.05 Cr — effectively nothing — which is what makes the September 24 funding filing the structural change here: the acquisition is at least partly debt-financed, against a P&L that has not been servicing debt. On the register, promoters held 38.41% (1.23 crore of 3.21 crore shares) as of June 30, 2026, with institutional holdings of roughly 40,230 shares (FII) and 14,400 shares (DII) — near-zero, consistent with the small-cap liquidity caution above.
The disclosures that complete the picture
Open offer terms
The August 20 outcome was captioned "For Acquisition and Open Offer". The open offer covers up to 95,70,000 equity shares, representing approximately 25.79% of Kronox's voting share capital; the offer price and timetable remain the key missing mechanics.
Consideration and debt
The size of the September 24 borrowing used to fund the acquisition does not appear in the filing extracts cited here. Watch subsequent disclosures and the balance sheet for that figure.
Q2 FY27 results
The first results after completion should show how — and from what date — a 64.26% subsidiary and the acquisition funding cost flow into consolidated numbers.
September 30 session
The completion was filed after Tuesday's close; Wednesday is the first session in which the market can trade on it, after a two-day, high-volume rise that preceded the filing.
The transaction itself is now a fact: forty days after the board approved the SPA, Indo Borax owns 64.26% of Kronox Lab Sciences, a listed speciality chemicals company, bought from its promoters for an aggregate consideration of ₹246.12 crore, with the help of borrowed funds. The market repriced the buyer 14.8% higher on the day the deal was announced and has broadly kept that repricing, which suggests investors read the acquisition as value-adding rather than value-destroying.
What remains open is the paperwork that gives the deal its final shape: the open offer's price and timetable for Kronox's public shareholders, and the size of the debt taken on to pay for the acquisition. Until those numbers are on record, the data supports a description of what happened more than a verdict on what it is worth.
