Who sold, how much, what remains
Between August 17 and 21, three members of Info Edge's promoter group and board sold shares on market and disclosed the trades under SEBI's insider-trading regulations. Sanjeev Bikhchandani (founder, promoter and director) sold 8,50,000 shares for ₹115.81 Cr on August 17, taking his holding from 24.03% to 23.90%. Hitesh Oberoi (promoter, MD and CEO) sold 5,00,000 shares for ₹68.23 Cr on August 17 and a further 3,98,408 shares for ₹54.23 Cr on August 20–21, from 4.94% to 4.80%. Kapil Kapoor (Chairman and non-executive director) sold 5,00,000 shares for ₹68.05 Cr across August 18–20, from 1.74% to 1.66%.
Two employees also sold in the same week: Ambarish Raghuvanshi (KMP) 50,000 shares for ₹6.83 Cr, and Shalabh Nigam 50,000 shares for ₹6.78 Cr. On August 27, after the original report, Mr Oberoi sold another 1,01,592 shares for ₹13.58 Cr, taking him to 4.78%. All disclosures state the mode as market sale; none states a purpose.
Put against the holdings, the sales are small: about 0.5% of Mr Bikhchandani's shares, 2.8% of Mr Oberoi's (4.4% including August 27) and 4.4% of Mr Kapoor's. The promoter group held 37.47% at June 30; after the August sales it is roughly 37.2%. There is no filing indicating a pledge, an off-market transfer or a change in control.
Prices, timing and the quarter
The sales landed near the top of a run. From ₹926 on May 18 the stock rose to ₹1,391 intraday on August 11 and ₹1,355.80 at the August 17 close, the day of the first sales. Bikhchandani's and Oberoi's disclosures reached the exchange at 20:05 IST on August 17, after the close; volume that day was 60.9 lakh shares against a 20-day average of 25 lakh, and the stock closed up 0.95%. Kapoor's disclosure came at 19:57 IST on August 20; August 21 closed down 0.8%. There was no gap-down on any disclosure.
Q1 FY27 (filed August 10): consolidated profit after tax ₹490 Cr, up 42.9%, but that includes a net exceptional gain of ₹135.6 Cr; excluding it the quarter was roughly flat. Standalone profit after tax fell 5.4%. Standalone operating profit before tax was 40.5% of revenue, with the recruitment business above 58%. Trailing consolidated EPS of about ₹24.7 puts the stock at roughly 55× at ₹1,350.

Three promoters and directors sold ₹306 Cr of Info Edge shares near a record high, in amounts of 0.5–4.4% of their holdings, and disclosed each trade on the day. The promoter group remains near 37%. The filings state no purpose, and nothing in them points to a change in control or a pledge.
The quarter behind the run was flatter than the headline: a 42.9% jump in consolidated profit rested on a ₹135.6 Cr exceptional gain, and standalone profit fell. That, and a trailing multiple around 55×, is the context in which the sales were made.
