Systematix files the Letter of Offer for the ₹23.35-per-share open offer

Systematix Corporate Services, manager to the offer, submitted the Letter of Offer dated October 17 to BSE at 11:36 IST on October 19. It incorporates SEBI's final observations (letter dated October 9) on the Draft Letter of Offer and is scheduled for dispatch to public shareholders on or before October 21. The offer: up to 3,19,71,680 equity shares of ₹10 face value — 26.00% of the Expanded Voting Share Capital — at ₹23.35 per share in cash, under Regulations 3(1) and 4 of the SEBI (SAST) Regulations.

Read:This is the final offer document. It fixes the revised schedule — tendering October 28 to November 11, payment by November 26 — and confirms the offer is not conditional on any minimum level of acceptance and faces no competing offer. For holders, the live question is the fixed cash price against wherever the stock trades during the tendering window.

Letter of Offer — BSE filing, Oct 19, 2026

The offer is made by Manav Bahri, Dinesh Popli and Ajay Dutta — the three shareholders who together hold all of Golden Ikon Fleet Management Private Limited — along with two persons acting in concert, Trimudra Trade & Holdings Private Limited and Shraddha Gohil. None of them holds any Kuber Udyog shares today. The Letter of Offer states that no statutory approvals are currently required by the acquirers to buy tendered shares, though the company's own application to the RBI for voluntary surrender of its NBFC registration is still pending. The offer price may be revised upward until one working day before tendering begins — October 27 on the published schedule — and any revised price would apply to all tendered shares.

The offer is mandatory, not opportunistic: it was triggered by a Share Sale & Subscription Agreement dated August 7, 2026, under which Kuber Udyog agreed to acquire 100% of Golden Ikon from the acquirers. The consideration is almost entirely paper — 7,62,85,000 new Kuber Udyog shares at ₹23.10 each (₹176,21,83,500, i.e. about ₹176.2 crore) plus ₹66,500 in cash, for a total of ₹176,22,50,000. Note the scale inversion: a company with a market capitalisation around ₹22.3 crore is issuing roughly ₹176 crore of new equity, at the ₹23.10 issue price, to buy the acquirers' business — which is why control changes hands and the open offer follows. A separate preferential issue of 37,00,000 convertible warrants (9,00,000 to the acquirers, 3,00,000 to the PACs, 25,00,000 to public and non-promoter investors, for cash) sits alongside the SSSA.

The price gap

₹23.35 on paper, ₹64.99 on the screen

When the public announcement was made on August 7, the stock closed at ₹25.81 — within about 10% of the offer price. It has since risen roughly 152%, closing at ₹64.99 on the day the Letter of Offer was filed, about 2.8 times the ₹23.35 offer. The arithmetic that follows is ours, not the filing's: a shareholder tendering at ₹23.35 today would receive far less than the prevailing market price, so the fixed cash offer functions as a floor-style alternative that only becomes economically relevant if the market price falls toward it before or during the tendering window. The Letter of Offer itself makes no assurance about the market price and expressly leaves the participation decision to shareholders.

Over these sixty sessions the stock is up about 175% (₹23.61 on July 24 to ₹64.99), and it sits roughly 10.6% below its 52-week adjusted high of ₹72.7 set on October 5 — against a 52-week low of ₹10.51 in February. The climb overlaps the offer timeline almost exactly, but the filings in this window don't explain the individual legs of the move, so any attribution of the rally to the transaction is inference, not record. What the record does show: on the day the final offer document landed, the stock gave back 3.0%.

The expanded base also includes equity shares proposed under the cash preferential issue, so the rows above do not sum to the total. Source: Letter of Offer, Oct 17, 2026.

The scale of the restructuring shows in the numbers. Kuber Udyog has 34,33,000 shares outstanding and, as of June 30, a promoter holding of exactly zero. The open offer alone is for about 9.3 times the company's entire existing share count — possible only because the 26% is computed on the post-issuance base of 12,29,68,000 shares and warrants. By our arithmetic, today's entire share capital would be under 3% of that expanded base. The LOF says that on full acceptance the acquirers and PACs would reach about 89% of the expanded capital, above the maximum permissible non-public shareholding, and that they would then have to restore minimum public shareholding within prescribed timelines. The company itself is being refitted around the incoming business: the September 5 AGM approved replacing the main objects clauses (motor vehicles and transportation, travel and tourism, facility management, and AI/IT services) and renaming the company Golden Ikon Mobility Limited — a name the MCA made available on September 24 — while the CIN change following the objects alteration was intimated to BSE on October 12. The existing business this replaces is small: Q1 FY27 revenue of ₹0.34 crore and net profit of ₹0.22 crore, after a ₹0.04 crore loss in Q4 FY25.

  1. Public announcement of the open offer; SSSA signed the same day

  2. Detailed Public Statement published (Financial Express, Jansatta, Mumbai Lakshadeep)

  3. Draft Letter of Offer filed with SEBI

  4. SEBI final observations letter (originally scheduled Sep 15)

  5. Identified Date for the register of eligible shareholders

  6. Letter of Offer (dated Oct 17) filed with BSE

  7. Last date for dispatch of the LOF to public shareholders

  8. Independent directors' committee recommendation due; publication by Oct 26

  9. Last date for upward revision of offer price/size; offer-opening announcement

  10. Tendering period opens

  11. Tendering period closes

  12. Last date for payment of consideration or return of shares

The schedule in the LOF runs about four weeks behind the original plan — SEBI's observations arrived October 9 against an originally scheduled September 15, pushing tendering from October 1–15 to October 28 – November 11. Two dates matter most from here. The independent directors' committee recommendation, due October 22 and published by October 26, is the one formal piece of advice public shareholders receive before the window opens. And October 27 is the last day the acquirers can revise the price upward — the LOF keeps that door open at their discretion, with any revised price payable to everyone who tenders.

What to watch

The dates and decisions that change the picture

  • Independent directors' view

The committee's reasoned recommendation on the offer is due Oct 22 and must be published by Oct 26 — two working days before tendering opens.

  • Price revision window

The acquirers may revise the ₹23.35 price upward until Oct 27. The LOF flags this as possible, not planned.

  • Market price vs ₹23.35

Tendering economics depend entirely on where the stock trades Oct 28 – Nov 11; at ₹64.99 the market is 2.8× the offer price.

  • RBI on the NBFC surrender

The company's application to voluntarily surrender its NBFC Certificate of Registration is pending with the RBI, with no assured timeline.

  • Approvals for the new shares

The 7,62,85,000 SSSA shares still need listing and trading approvals; BSE gave in-principle approval for the issuance on Oct 15.

The Letter of Offer completes the paperwork of a change of control that has been public since August 7: an unconditional, no-minimum-acceptance cash offer at ₹23.35 for 26% of an equity base that mostly doesn't exist yet, attached to an all-share acquisition that puts a ₹22-crore NBFC with zero promoter holding on its way to becoming Golden Ikon Mobility Limited (name reserved by the MCA, ROC filing pending), a fleet-management company roughly 89% held by its new owners if the offer is fully accepted.

For public shareholders the decision is unusually legible: a fixed cash price, a fixed window, and a market price currently 2.8 times the offer. The filing states the mechanics and the dates; what it cannot state is where the stock trades between October 28 and November 11 — and in a micro-cap with volumes this thin, that is the variable that will decide what the ₹23.35 floor is actually worth.
