Marico pays ₹1,012 Cr to lift its PLIX stake to 84.09%, exercising rights disclosed since 2023
₹1,012.03 Cr buys a further 24.09% of the PLIX owner, taking Marico from 60% to 84.09%; the final 14.09% is due by July 2027 at a base of up to ₹592 Cr. PLIX's FY26 turnover: ₹864.31 Cr.

After market close on Monday, October 5, Marico told the exchanges it has acquired a further 24.09% of Satiya Nutraceuticals Private Limited — the company that owns the plant-based nutrition and personal care brand PLIX — for ₹1,012.03 crore in cash, taking its stake from 60% to 84.09% on a fully diluted basis. This was not a new deal surfacing: the filing itself points back to intimations of July 2023, November 2023, May 2025 and December 2025, under which Marico built the original 60% and held rights to acquire the remaining 40%. Monday's step-up is those rights being exercised.
A contracted 38.18%, taken in two tranches
Marico acquires a further 24.09% of Satiya Nutraceuticals (PLIX) for ₹1,012.03 Cr
Marico has entered definitive agreements to acquire 38.18% of Satiya Nutraceuticals, in tranches, from its founders and certain other shareholders. The first tranche — 24.09%, for ₹1,012.03 crore in cash — was completed on October 5, 2026, lifting Marico's fully diluted stake from 60% to 84.09%. The remaining 14.09% is to be completed in July 2027, for a consideration to be determined at that time, comprising a base of up to ₹592 crore plus additional consideration subject to milestones. The aggregate paid for the 84.09% now held stands at ₹1,392.07 crore. The target includes Satiya's wholly owned subsidiary, Juizo Advisory Private Limited.
Read:The filing makes the path explicit: the definitive agreements cover 38.18% of the remaining 40% over which Marico held rights, so the contracted path takes its stake to 98.18% on a fully diluted basis — not full ownership — with one tranche and a milestone-linked price left open. Because the sellers are Satiya's founders and their related parties, the purchase is a related-party transaction, which the filing states is on an arm's length basis — and it states Marico's promoter group has no interest in the transaction. No governmental or regulatory approvals are required.
BSE Reg. 30 filing, Oct 5 2026The structure is worth reading precisely. The definitive agreements cover 38.18% — exactly the 24.09% just completed plus the 14.09% scheduled for July 2027 — against a right that originally extended to the remaining 40%, so the contracted position tops out at 98.18% on a fully diluted basis. The July 2027 consideration is not fixed: the filing gives a base of up to ₹592 crore — a cap on the base, not a floor — plus additional consideration tied to milestones under the agreements. So the final cost of the contracted 98.18% is not yet knowable from this disclosure — what is knowable is that ₹1,392.07 crore has bought 84.09%, and the last tranche carries a capped base with no disclosed overall ceiling.

Two pieces of arithmetic on the filing's own numbers frame the price. First, ₹1,012.03 crore for 24.09% implies a value of roughly ₹4,200 crore for Satiya Nutraceuticals as a whole — about 4.9 times its FY 2025–26 consolidated turnover of ₹864.31 crore. Second, subtracting this tranche from the ₹1,392.07 crore aggregate implies roughly ₹380 crore was paid for the first 60%, accumulated across the 2023–2025 intimations — a far lower price per percentage point than this tranche. Both figures are inferences from the disclosed totals, not numbers the filing states; the gap is at least consistent with how much larger the business has become since Marico first invested.
Turnover has nearly tripled, then doubled again
The filing describes Satiya Nutraceuticals — incorporated in February 2020, headquartered in Mumbai — as the owner of 'The Plant Fix – Plix', a plant-based nutrition and personal care brand, and says the investment has expanded Marico's addressable market in value-added foods and nutrition as well as personal care and wellness. The disclosed trajectory is steep: ₹155.32 crore of turnover in FY24, ₹432.84 crore in FY25, ₹864.31 crore in FY26 — a near-doubling in the latest year. For scale, that full-year figure compares with the ₹3,957 crore of consolidated revenue Marico reported in Q1 FY27 alone, so PLIX remains a small piece of the whole; the ₹1,012 crore tranche, meanwhile, works out to about 1% of Marico's ≈₹1,02,975 crore market capitalisation.
A muted first reaction, in a stock drifting off its July high
The filing reached the exchange at 20:14 IST on Monday, after the close, so the first session that could trade it was October 6 — and the stock moved +0.4%, from ₹790.00 to ₹793.10. Monday itself had opened to a different disclosure: the Q2 FY27 quarterly update, filed pre-open at 08:41 IST, which said domestic demand 'remained resilient' through the quarter even as the operating environment 'stayed volatile'; the stock closed that session up 1.1%. The bigger picture is a stock about 10.8% below its 52-week adjusted high of ₹889.10, set on July 30, and within sight of the ₹703.95 52-week low from October 2025 only in the sense that the drift since July has been steadily lower. A ₹1,012 crore outlay amounting to roughly 1% of market capitalisation, for a business the market already knew was on a path to full ownership, is the kind of event a muted reaction suggests was largely anticipated.
The next disclosures
Q2 FY27 results
Monday's quarterly update says a detailed Information Update follows once the Board approves the un-audited results for the quarter and half year ended September 30, 2026. Whether PLIX's contribution is broken out there would make the ₹4,200 crore implied valuation easier to judge.
July 2027 tranche
Completion of the remaining 14.09% and its final consideration — a base of up to ₹592 crore plus milestone-linked amounts to be determined at the time, per the filing.
Board composition
Rajeev Vasudeva retires as Independent Director at end of day October 31, 2026, having informed the company he will not seek re-appointment; any successor appointment would come via a further Reg. 30 filing.
The October 5 filing is the second-last step of a sequence Marico set out in disclosures going back to July 2023: build 60% of the PLIX owner, hold rights over the remaining 40%, and exercise them. With 84.09% now held for an aggregate ₹1,392.07 crore and the final 14.09% contracted for July 2027, the open questions are no longer about whether Marico consolidates the business, but about what the milestone-linked final consideration totals and how the brand performs inside a much larger portfolio.
The disclosed numbers give investors a cleaner read than most private-market step-ups: a tranche price that implies roughly 4.9 times FY26 turnover for a business that doubled revenue last year, paid in cash, at a size — about 1% of Marico's market capitalisation — that the first session after the filing absorbed with a 0.4% move.
