On October 14, after market hours, Nitco told the exchanges it has completed the registration of the conveyance deed for 75% of its land at Kanjurmarg, Mumbai in favour of R Siddhatva Developers Private Limited, a step-down subsidiary of Runwal Construction Private Limited — and that the consideration of ₹143 crore has already been received. The remaining 25% of the parcel is under a registered agreement for sale to the same entity, with its conveyance deed to be executed only when Nitco receives 1,00,000 square feet of commercial RERA carpet area plus 8,500 square feet of basement space. The company expects to realise revenue of approximately ₹250 crore from selling that space.
Cash for three-quarters of the land, space for the rest
Conveyance deed registered for 75% of the Kanjurmarg land; ₹143 crore received
In continuation of its letters of May 13, 2026 and June 29, 2026, Nitco disclosed that — upon fulfilment of the requisite conditions and receipt of shareholder approvals — it has completed the registration of the conveyance deed for 75% of the Kanjurmarg, Mumbai land in favour of R Siddhatva Developers Private Limited, a step-down subsidiary of Runwal Construction Private Limited, against which ₹143 crore of consideration has already been received. For the remaining 25%, the agreement for sale is registered; the conveyance deed will be executed on receipt of 1,00,000 sq ft of commercial RERA carpet area and 8,500 sq ft of basement space, from whose sale the company expects approximately ₹250 crore of revenue.
Read:The cash leg of a transaction first intimated in May is now closed. What remains is a barter leg: the last quarter of the land transfers only against delivery of the commercial space, and the ~₹250 crore attached to it is the company's expectation from selling that space, not a contracted receivable.
BSE filing, Oct 14, 2026The structure is worth being precise about. The filing describes two distinct legs: a completed cash sale — deed registered, ₹143 crore in hand — and a pending exchange in which the consideration is real estate, not money. Until the developer delivers the 1,00,000 square feet of commercial carpet area, the remaining 25% of the land stays with Nitco under a registered agreement for sale. The ₹250 crore figure is the revenue the company expects from eventually selling that space; its timing and realisation depend on delivery of the space and on the price it fetches.
Scale is the reason this single parcel matters: ₹143 crore received plus roughly ₹250 crore expected is about ₹393 crore of total consideration — close to a fifth of Nitco's ≈₹1,982 crore market capitalisation. That arithmetic, rather than any new information in the filing (the sale was intimated in May and approved by shareholders since), is what makes the completion a reference point for the stock.
Alibaug: a ₹4,500-crore development JV signed in August
Nitco forms JV with House of Abhinandan Lodha for a ₹4,500-crore Alibaug project
Nitco announced a joint venture with The House of Abhinandan Lodha (HoABL) to develop a 40-acre premium mixed-use project in Alibaug, with the development expected to generate approximately ₹4,500 crore in revenue over five years. The JV was formalised through a Memorandum of Understanding between Nitco, its wholly owned subsidiary Nitco Realties Private Limited, and HoABL's wholly owned subsidiary HoABL Impactum Land Private Limited, covering land parcels at Thal and Lonare in Alibaug, Raigad. HoABL's own release the previous evening names promoter Vivek Talwar as a party to the MOU.
Read:The Kanjurmarg conveyance is therefore not an isolated disposal: it is the second land-monetisation announcement in two months from a company whose listed identity is tiles. The Alibaug arrangement is at MOU stage; of the ₹4,500 crore the development is projected to generate in revenue over five years, Nitco's share is expected to be about ₹1,500 crore and HoABL's about ₹3,000 crore.
BSE filing (press release), Aug 26, 2026A stock a third off its July high
The completion landed on a weak tape. At ₹82.41, the stock is 31.0% below its 52-week adjusted high of ₹119.40 set on July 3, and the first session after the filing closed down 3.0%. One reading — and it is an inference, not something the filing states — is that the market had already priced the sale when it was intimated in May and approved by shareholders; Wednesday's disclosure converts an announced transaction into received cash rather than revealing a new one.
What the land sale is set against
Q3 FY26 net loss includes an exceptional item of ₹−4.0 crore. Q1 FY26's 33.0% operating margin and ₹47.5 crore profit are out of line with every subsequent quarter; the quarterly summary does not state the driver.
The core business gives the land monetisation its context. Consolidated revenue in Q1 FY27 was ₹116.0 crore, down 22.8% from ₹150.2 crore a year earlier, with a net loss of ₹10.3 crore — and operating margin has been negative in each of the last four quarters. Quarterly interest cost has run at ₹2.4–2.9 crore on a consolidated basis. Against that backdrop, ₹143 crore of received cash is large relative to what operations currently generate; what the company does with it is not stated in the filing.
The gates on the remaining value
Delivery of the commercial space
The conveyance of the remaining 25% of the Kanjurmarg land executes only on receipt of 1,00,000 sq ft of commercial RERA carpet area plus 8,500 sq ft of basement space. The ~₹250 crore is Nitco's expected revenue from then selling that space — watch for a filing confirming delivery, and later for evidence of realisation.
Q2 / H1 FY27 results
The trading window closed on October 1 until 48 hours after the declaration of results for the quarter and half-year ended September 30, 2026. These will be the first accounts after the ₹143 crore receipt, and the next read on whether the operating loss streak extends to five quarters.
Alibaug JV: from MOU to definitive agreements
The HoABL joint venture for the ₹4,500-crore-revenue Alibaug project, of which Nitco's share is expected to be about ₹1,500 crore, was signed as a Memorandum of Understanding in August. Filings converting it into definitive agreements would be the next material step.
What is confirmed as of October 14: the conveyance deed for 75% of the Kanjurmarg land is registered in favour of the Runwal step-down subsidiary, and ₹143 crore of consideration has been received. What is not yet real: the remaining 25% transfers only against delivery of the commercial space, and the approximately ₹250 crore attached to it is the company's stated expectation from a future sale of that space.
The combined consideration of roughly ₹393 crore against a ≈₹1,982 crore market capitalisation explains the market's attention, but the operating record — four consecutive quarters of negative operating margin and a 22.8% year-on-year revenue decline in the latest quarter — is the other half of the picture. For a small-cap with moderate liquidity, both halves warrant weight.
