Sixteen minutes past midnight on October 20, OnEMI Technology Solutions — the company behind the Kissht platform, listed as KISSHT — received in-principle approval from NSE and BSE for a preferential issue of up to 2,64,93,882 equity shares at ₹314.11 each, an amount the filing spells out as INR 8,32,19,93,275.02 — that is, up to ₹832.20 crore. The allottees are described in the filings as identified investors in the non-promoter category. Set against a market capitalisation of roughly ₹5,774 crore (16.85 crore shares at the October 19 close of ₹342.70), the raise equals about 14.4% of the company's current value — and because every share goes to non-promoters, existing holders are looking at measurable dilution. The approval itself is conditional on steps that still lie ahead, including filing the listing application once shares are allotted. This report lays out the mechanics, the math, and what remains before the shares actually list.
From board room to exchange gate in five weeks
Board approves a preferential issue of up to 2.65 crore shares at ₹314.11
The Board of Directors, at its meeting on Thursday, September 17, approved a proposal to issue up to 2,64,93,882 fully paid-up equity shares of face value ₹1 each, for cash, at ₹314.11 per share (including a premium of ₹313.11), to proposed investors in the non-promoter category — subject to shareholder approval. The outcome reached the exchange at 9:57 pm, after market close; a press release on the issue followed the next morning.
Read:This set the issue's full dimensions on day one: share count, price, and the fact that promoters are not participating. At ₹314.11 the issue was priced below where the stock was trading — the September 17 close was ₹359.95.
BSE filing — outcome of board meeting, Sep 17, 2026EGM called for October 14 to vote on the issue
The company issued the notice of its first Extraordinary General Meeting of FY2026-27, scheduled for Wednesday, October 14 at 4:00 pm via video conferencing, with a single item of business: a special resolution to approve the issuance of equity shares by way of preferential issue on a private placement basis under Chapter V of the SEBI ICDR Regulations. A corrigendum to the notice followed on October 8.
Read:The shareholder vote was the first of the two approvals the issue needed. The outcome of the EGM and the scrutinizer's report were filed on the evening of October 14; the exchanges' in-principle approvals followed five days later.
BSE filing — notice of EGM, Sep 21, 2026NSE and BSE grant in-principle approval for the issue
Both exchanges granted in-principle approval under Regulation 28(1) of the SEBI Listing Regulations for the issue of up to 2,64,93,882 shares at ₹314.11, aggregating up to ₹832.20 crore, to identified non-promoter investors. The NSE letter is dated October 19; the company's intimation reached the exchange at 00:16 IST on October 20, before market open.
Read:This is the last exchange-side gate before allotment. The approval is conditional, not final: statutory approvals (SEBI, RBI, MCA) must still be received, and the listing application must follow allotment. The filing landed pre-open on October 20, so the price series here — which ends October 19 — does not yet show a reaction.
BSE filing — receipt of in-principle approvals, Oct 20, 2026The NSE approval letter is worth reading for its conditions. The clearance is granted subject to the company filing the listing application "at the earliest" after allotment, receiving statutory approvals from SEBI, RBI, MCA and other authorities, and complying with the Listing Regulations and the Companies Act as on the date of listing. The exchange also directs the company to obtain an undertaking from the allottees that they will not trade intra-day or sell the company's stock until the allotment date, with the onus of verifying this placed squarely on the issuer under Regulation 167(6) of the ICDR Regulations — and it reserves the right to withdraw the approval if the information submitted turns out to be incomplete or incorrect. In short: the gate is open, but the walk through it is still conditional.
Who owns what, before and after
Post-issue figures assume full allotment of 2,64,93,882 shares and no change in existing holders' share counts; the issue is to non-promoters per the filings.
The headline numbers: the share count expands 15.7%, the new investors end up with 13.59% of the enlarged company, and the promoter stake — 24.80% as of June 30, 2026, unchanged across the two shareholding snapshots on record — slides to roughly 21.43% without the promoters selling a single share. The ₹832.20 crore coming in equals about 14.4% of the current market capitalisation, priced at an 8.3% discount to the October 19 close of ₹342.70. The 34 allottees are named in the filings — Axis Mutual Fund (three schemes), HDFC Mutual Fund (two schemes), Massachusetts Institute of Technology, 360 One, Ashoka WhiteOak, Groww Mutual Fund, Bandhan Mutual Fund, Citigroup Global Markets Hong Kong and Unity Small Finance Bank among them — and the press release states that 75% of the proceeds will go to subsidiary Si Creva Capital Services and 25% to general corporate purposes.
The stock ran through the approval process, then cooled
The price context matters for how the ₹314.11 issue price reads. From a close of ₹293.50 on August 10, the stock climbed through the entire approval process — it was at ₹359.95 when the board approved the issue, touched its 52-week high of ₹388.15 on October 5, and closed as high as ₹383.10 on October 6. Since then it has cooled for most of October, ending at ₹342.70 on October 19 — down 11.7% from the 52-week high but still up 16.8% from the August 10 close. The stock has not closed below the issue price since September 7. The two sessions that followed the issue's key filings were both modestly negative (−1.0% and −2.7%), which suggests the market absorbed the dilution news without repricing the stock sharply — the subsequent run to the 52-week high happened with the issue fully disclosed.
One reported quarter, and a tax notice worth knowing about
Source: exchange filings. Only one quarter of reported results is on record in this coverage window.
The reported base the new capital lands on: Q1 FY27 consolidated revenue of ₹669.50 crore, net profit of ₹95.08 crore and an operating margin just under 31%, with ₹81.88 crore of interest expense sitting in the consolidated numbers. A provisional business update for the September quarter was filed on October 3, with full Q2 results to follow — the trading window has been closed since October 1 pending them. One more item from the window deserves a line: on September 30 the company disclosed that Si Creva Capital Services, its wholly owned subsidiary, received a show cause notice dated September 29 from the Maharashtra GST department under Section 73(1) of the MGST Act for FY2022-23. The company stated it firmly believes the notice has no merits, that Si Creva will defend its case before the adjudicating authorities, and that no material financial impact on the company or Si Creva is expected.
The filings that complete this story
Allotment
The in-principle approval requires the listing application "at the earliest" after allotment, and statutory approvals (SEBI, RBI, MCA) remain pending per the NSE letter. The allotment filing will also confirm whether the full 2,64,93,882 shares are placed.
Who the allottees are
The filings name all 34 allottees — among them Axis Mutual Fund (three schemes), HDFC Mutual Fund (two schemes), Massachusetts Institute of Technology, 360 One, Ashoka WhiteOak, Groww Mutual Fund, Bandhan Mutual Fund, Citigroup Global Markets Hong Kong and Unity Small Finance Bank — each with the exact share count and subscription amount disclosed in the board-outcome filing and press release.
Use of proceeds
The press release states the use of proceeds: 75% of the raise is earmarked for subsidiary Si Creva Capital Services to scale its lending business and strengthen technology, and 25% for general corporate purposes.
Q2 FY27 results
A provisional business update for the quarter ended September 30 was filed on October 3; the board meeting date for full results is yet to be announced, and the trading window stays closed until 48 hours after they are declared.
Si Creva GST notice
The adjudication of the September 29 show cause notice under the MGST Act — the company expects no material impact, and the proceedings will test that.
The process itself has been quick and clean: board approval on September 17, shareholder meeting on October 14, and exchange in-principle approvals in hand by October 20 — five weeks from intimation to the final procedural gate. What is settled is the shape of the deal: up to ₹832.20 crore for up to 13.59% of the enlarged company, at ₹314.11 a share, entirely from non-promoter investors. The 34 allottees are named in the filings, and the press release states the proceeds split: 75% to subsidiary Si Creva Capital Services, 25% for general corporate purposes.
For existing holders, the arithmetic is the story. The share count grows 15.7%, the promoter stake slides from 24.80% to about 21.43% without a share changing hands, and the new money comes in at an 8.3% discount to the last close. The company has said 75% of the proceeds will go to subsidiary Si Creva Capital Services and 25% to general corporate purposes; whether that deployment is favourable for existing holders depends on what it earns once put to work. The data suggests the market has so far taken the dilution in stride; the allotment and deployment disclosures are where that view gets tested.
