The NCLT milestone in CPP's exit from Island Star Mall Developers
NCLT approves selective capital reduction at ISMDPL; Phoenix's stake moves to 68.10%
Phoenix Mills informed the exchanges that the National Company Law Tribunal, Mumbai Bench, by an order dated October 27, 2026, approved the selective reduction of equity share capital of Island Star Mall Developers Private Limited (ISMDPL), the company's material subsidiary. The reduction cancels and extinguishes 3,25,69,360 fully paid-up equity shares of face value ₹10 each held by Canada Pension Plan Investment Board (CPP Investments), against an aggregate cash consideration of ₹1,350 crore paid by ISMDPL. Phoenix's shareholding in ISMDPL rises from 58.33% to 68.10%; CPP's falls from 41.67% to 31.90%. The certified copy of the NCLT order is awaited, and ISMDPL will file it with the Registrar of Companies within the prescribed timelines.
Read:This is the next tranche of a pre-agreed exit, not a new deal: the July 24, 2025 Framework Agreement already committed to taking CPP out of its ISMDPL stake. The consideration works out to roughly ₹414.5 per ISMDPL share cancelled, and because ISMDPL itself pays the cash, Phoenix's ownership rises without the listed company buying a single share in this leg. The filing states that on completion of the full transaction, ISMDPL becomes a wholly owned subsidiary.
BSE filing, Oct 28, 2026The mechanics matter here. In a selective capital reduction, the subsidiary cancels one shareholder's shares and pays that shareholder out — so Phoenix's percentage rises because ISMDPL's share count shrinks, not because Phoenix wrote a cheque in this tranche. The ₹1,350 crore of cash leaves ISMDPL's balance sheet and goes to CPP Investments. The filing classifies the transaction as a related-party transaction under Section 2(76) of the Companies Act and Regulations 2(1)(zc) and 23 of the SEBI Listing Regulations, and states that audit committee, board and shareholder approvals were obtained, with a valuation report from Bansi S. Mehta Valuers LLP determining the fair value of ISMDPL's equity shares. The filing also states the promoter and promoter group have no interest in the transaction.
The sequence started on July 24, 2025, when Phoenix, ISMDPL and CPP Investments signed a Framework Agreement to give CPP an exit from its then 49% ISMDPL stake through a combination of buyback, dividend, selective capital reduction and/or secondary acquisition. Tranche 1 completed in November 2025: ISMDPL finished a buyback (intimated November 12), and Phoenix completed the purchase of 62,66,737 ISMDPL shares from CPP (intimated November 14), taking Phoenix from 55.57% to 58.33% and CPP down to 41.67%. The NCLT-approved capital reduction is the next step; the filing's stated end point is Phoenix at 100%, directly and/or through affiliates, with sole control of ISMDPL.

What sits inside the ISMDPL platform
ISMDPL, incorporated on April 10, 2006, operates, manages and leases Phoenix MarketCity Bengaluru. Its three subsidiaries extend the platform: Alyssum Developers runs the Phoenix Mall of Millennium and Millennium Towers offices in Pune; Sparkle One Mall Developers runs the Phoenix Mall of Asia and Phoenix Asia Towers in Bengaluru; and Insight Mall Developers runs Phoenix Citadel in Indore. The filing discloses ISMDPL's standalone numbers: turnover of ₹28,505.09 lakh — i.e. ₹285.05 crore — for 2025-26, and net worth of ₹2,79,129.16 lakh — i.e. ₹2,791.29 crore — as on March 31, 2026.
Filed in ₹ lakh (e.g. ₹28,505.09 lakh for 2025-26), converted to ₹ crore. Standalone net worth as on March 31, 2026: ₹2,791.29 crore. The standalone figures are for ISMDPL itself; the three subsidiaries are separate entities within the ISMDPL Platform.
For scale: the ₹1,350 crore consideration is about 2% of Phoenix Mills' market capitalisation of roughly ₹68,785 crore, and it is funded at the subsidiary level. Phoenix's consolidated Q1 FY27 revenue was ₹1,074.94 crore with net profit of ₹394.51 crore. The shareholding arithmetic is the substance of the event: with CPP's stake stepping down from 41.67% to 31.90% — and the filing pointing to 100% eventually — a progressively larger share of the ISMDPL mall platform's economics sits with Phoenix shareholders. That reallocation, rather than any change in the underlying malls, is what this filing delivers.
How the stock has traded into the order
The stock closed at ₹1,923.3 on October 29, up 1.3% on the previous close of ₹1,899.30 — the first session in which the after-hours filing could trade. That leaves it 11.4% below its 52-week adjusted high of ₹2,169.8 set on July 14, 2026, and 31.2% above the 52-week low of ₹1,465.6 from March 24, 2026. A measured reaction is consistent with the nature of the disclosure: the exit framework and the stake step-ups were intimated between July and November 2025, so the October 28 filing confirms a court approval within a known plan rather than revealing a new transaction.
The filings that move this forward
RoC filing and the ₹1,350 Cr payment
The certified copy of the NCLT order is awaited; ISMDPL will file it with the Registrar of Companies, and the filing says ISMDPL expects to complete payment within 30 days of that filing. A completion intimation would mark the 68.10% stake as effective.
Q2 & H1 FY27 results — October 30
The board meets on Friday, October 30, 2026 to approve September-quarter and half-year results. Per the October 8 filing, key operating metrics now come bundled with the results — the separate quarterly operational business update was discontinued from Q2 FY27.
The remaining 31.90%
The framework's stated end point is Phoenix at 100% with ISMDPL as a wholly owned subsidiary, via a combination of buyback, dividend, capital reduction and/or secondary acquisition. The mode, price and timing of the final leg are the open variables.
The NCLT order is a milestone inside a transaction the market has known about since July 2025, and the approved leg is procedural but material: ₹1,350 crore of subsidiary cash retires CPP Investments' shares and lifts Phoenix's ownership of its Bengaluru-anchored mall platform to 68.10%. The step is approved but not yet complete — the certified order, the RoC filing and the payment itself are the remaining gates, with the company indicating payment within 30 days of the RoC filing.
What the filings do not yet specify is the shape of the final leg — how and when CPP's residual 31.90% is taken out, and at what consideration. Until then, the practical read is incremental: each completed tranche moves more of ISMDPL's economics to Phoenix shareholders, and Friday's Q2 FY27 results offer the next consolidated look at the business those tranches are consolidating.
