Between 6:27 pm and 8:24 pm on October 22, Pitti Engineering's board meeting produced a stack of exchange filings: unaudited Q2 and H1 FY27 results, a ₹2-per-share interim dividend, senior-management re-designations — and the one that resets the investment case, a ₹450 crore capex approval to consolidate the company's lamination manufacturing in Karnataka into a single integrated facility. All of it reached the exchange after the close, so the first session that can trade on the news is October 23. The stock went in at ₹949.20, already 22.7% below its 52-week high of ₹1,228 set on September 7.

Board approves ₹450 Cr capex to consolidate Karnataka lamination operations

The board approved capital expenditure of ₹450 crore to increase manufacturing capacities and value-addition capabilities and to consolidate what the filing calls the company's fragmented lamination manufacturing operations in Karnataka into a single integrated manufacturing facility, implemented in phases up to FY 2030-31. Sheet-metal (lamination) capacity goes from 1,08,000 MT a year to 1,60,000 MT; machining capacity from 8,13,600 hours to 13,14,000 hours — on top of an expansion already underway that takes machining to 10,80,000 hours by Q1 FY 2029-30. Mode of financing: internal accruals and debt.

Read:At roughly 12.6% of the company's ₹3,574 Cr market cap, this is a balance-sheet-scale commitment. The filing's rationale is sustained demand across mining and off-highway vehicles, power generation (thermal, hydro, pumped storage and wind), data centres, railways and metro infrastructure — and current utilisation of ~78% on sheet metal and ~85% on machining, which suggests the existing plant is approaching its ceiling.

earnings

Q2 FY27: total income +16.3% to ₹580.5 Cr, adjusted PAT −15.1% to ₹36.3 Cr

The quarter's press release shows total income of ₹580.5 Cr (+16.3% YoY), adjusted EBITDA of ₹91.3 Cr (+13.6%, 15.8% margin) and adjusted PAT of ₹36.3 Cr (−15.1%, 6.3% margin). For H1 FY27: income ₹1,110.5 Cr (+15.3%), adjusted EBITDA ₹180.1 Cr (+13.6%) and adjusted PAT ₹68.2 Cr (−0.4%). Per the release, adjusted EBITDA excludes other income and ESOP cost, and adjusted PAT adds back ESOP cost. Lamination volumes rose 27.9% YoY to 20,612 MT, with high value-added assemblies up 51.1%.

Read:Topline and volumes are accelerating while the profit line shrinks — the tension the capex announcement leans into. The results are reported on a standalone basis after the September 2026 merger of both subsidiaries into the parent, with prior periods restated, so the year-on-year comparisons are on the combined perimeter.

BSE filing — Q2 & H1 FY27 press release, Oct 22

The basis change matters for reading the numbers. In September 2026 the company merged its two subsidiaries — Pitti Industries Private Limited and Dakshin Foundry Private Limited — into the parent, effective September 23 following an NCLT Hyderabad order sanctioning the scheme. Q2 and H1 FY27 are therefore standalone figures covering the whole former group, and the fairest year-ago comparison is the old consolidated quarter.

*Q2 FY27 is standalone post-merger and covers the former consolidated perimeter; the subsidiaries were amalgamated effective Sep 23, 2026. Reported net profit shown; the press release's adjusted PAT (₹36.3 Cr) adds back ESOP cost.

The decline is largely a non-operating story. Revenue from operations grew 21.1% year-on-year (₹578.4 Cr against the year-ago consolidated ₹477.7 Cr), and adjusted EBITDA — which strips out other income — grew 13.6%. But the gap between total income and operating revenue, a proxy for other income, collapsed from ₹21.3 Cr in Q2 FY26 to ₹2.1 Cr this quarter (computed from the filed P&L). That ₹19.2 Cr swing is bigger than the entire ₹8.6 Cr fall in pre-tax profit. Interest cost actually came in lower, at ₹16.3 Cr versus ₹19.4 Cr a year ago. The operating engine, on these numbers, grew; the headline profit decline came from what sits around it.

The half-year tells the same story with less noise: H1 FY27 income of ₹1,110.5 Cr is up 15.3%, adjusted EBITDA of ₹180.1 Cr is up 13.6% at a 16.3% margin, and adjusted PAT of ₹68.2 Cr is essentially flat at −0.4%. Alongside the results, the board declared an interim dividend of ₹2 per share (40% on the ₹5 face value), record date Monday November 2, payable on or before November 21.

The build-out

What ₹450 crore buys, and what funds it

The press release adds detail the Regulation 30 annexure doesn't: the ₹450 Cr goes into a new greenfield facility in Bengaluru, with land acquisition planned and interim capacity to be added in phases at existing and leased premises. The target state — 1,60,000 MT of sheet metal and 13.14 lakh machining hours by FY31 — is a 48% capacity addition on laminations and a 61% addition on machining over today's installed base, layered on top of the machining expansion already in flight. The filing states the mode of financing as internal accruals and debt. Holders are, in effect, being asked to fund a multi-year build-out from a quarter in which adjusted profit fell — the company's case is that ~78–85% utilisation and the demand it cites across railways, data centres, mining and power generation leave it little choice but to add capacity ahead of the orders.

Management on the capex
Building on this momentum, we are announcing a ₹450 crore investment in a new greenfield facility in Bengaluru to consolidate our laminations operations and progressively increase our sheet metal capacity to 1,60,000 MT and machining capacity to 13.14 lakh hours by FY31. This investment is backed by our confidence in the long-term demand outlook and our ambition to strengthen our position as an integrated engineering partner to global customers.

The filings land on a tape that has been falling for six weeks: from the September 7 close of ₹1,176.20 to ₹949.20 on October 22, a 19.3% slide. Part of it has a traceable trigger — on October 8 the company disclosed, after market close, that Maharashtra State GST officials had begun an inspection or search at its Maharashtra manufacturing unit under Section 67 of the state GST Act; the next session the stock fell 4.0%. The company's October 14 follow-up stated the proceeding concluded on October 13 at 11:30 pm, that it extended full co-operation, and that there was no material impact on financials or operations. The rest of the drift has no single filing attached to it. Promoter holding, for reference, was unchanged at 54.18% across the March and June 2026 quarters.

What to watch

The next data points

  • Oct 23 session

The first session able to price the results, the capex and the dividend together — all four filings reached the exchange after the October 22 close.

  • Debt and interest line

The filing states financing as internal accruals and debt. Q2 interest cost was ₹16.3 Cr, down from ₹19.4 Cr a year ago — whether that line turns up as the build-out is drawn down is the cleanest tell on how much of the ₹450 Cr is borrowed.

  • Bengaluru land acquisition

The press release says land acquisition for the greenfield unit is planned, with interim capacity at existing and leased premises. A land filing would be the first hard milestone of the phased plan.

  • Ongoing machining expansion

Separate from the new approval, machining capacity is already being expanded to 10,80,000 hours by Q1 FY 2029-30. Progress here is the nearer-term capacity driver.

  • Dividend dates

Record date Monday November 2 for the ₹2 interim dividend; payment on or before November 21.

The October 22 filings frame a deliberate trade-off. The quarter's reported profit fell — though the decline traces mostly to a ₹19.2 Cr collapse in other income rather than the operating business, where revenue grew 21.1% and volumes 27.9%. Against that, the board committed ₹450 crore, about an eighth of the company's market value, to consolidate and roughly half-again expand its lamination capacity by FY31, citing ~78–85% utilisation and demand across railways, data centres, mining and power generation.

The data suggests the question for holders is one of sequencing rather than direction: capacity is being added ahead of the profits that would fund it comfortably, with debt bridging the gap. Key monitorables are the interest line over the next few quarters, the first land-acquisition filing for the Bengaluru site, and whether lamination volume growth holds at anything near Q2's pace. The stock enters the first post-announcement session 22.7% below its 52-week high.
