Fifteen disposals in fourteen sessions
Between August 4 and August 21, seven members of the Disha Resources promoter group filed disclosures under SEBI Takeover Regulation 29(2) for open-market sales. The disposals add up to 23,62,310 shares, 32.3% of the 73,15,500 shares outstanding. The largest single sale was Satynarayan Kabra's 4,54,385 shares (6.21%) on August 4; Mayadevi Kabra sold 4,20,000 (5.74%) on August 13 and 3,28,000 (4.48%) on August 10. Two entities, Kabra Commercial Ltd and Ramawtar Kabra, sold their entire holdings on August 21.
The filings state quantity, date and mode. They do not state a reason, and no share purchase agreement, open offer or change-of-control filing accompanies them. The remaining promoter holding will be confirmed in the September 30 shareholding pattern; on the June 30 base it works out to roughly 17%.
The stock rose through the selling
The sales were made into a rising market. The stock closed at ₹27.33 on August 4 and ₹35.57 on August 21, up 30% across the window, and reached ₹40.91 intraday on August 26, five sessions after the last disclosed sale. The August 4 and August 21 session volumes (6.59 lakh and 5.92 lakh shares) correspond to the disclosed quantities. The stock fell 10.6% on August 27 and a further 5% on August 28 on thin volume.

Small revenue, small losses
Q1 FY27 results were published on July 25, ten days before the first August sale. Revenue was ₹0.73 Cr (₹0.48 Cr in Q4 FY26; ₹0.03 Cr in Q1 FY26) and the quarter showed a net loss of ₹0.07 Cr. Q1, Q2 and Q3 of FY26 were also loss quarters; Q4 FY26 was a profit of ₹0.08 Cr. FY26 revenue was ₹1.44 Cr. At ₹34, the market capitalisation is about ₹25 Cr.
