QIP opens with a floor price of ₹22,150 per share
The Listing and Fund Raising Committee, meeting on October 6, authorized the opening of the Issue the same day, approved the preliminary placement document and application form, and approved a floor price of ₹22,150 per equity share based on the pricing formula under Regulation 176 of the SEBI ICDR Regulations. The filing records that the raise rests on board approvals of June 27 and September 5, 2026 and a special resolution passed at an extraordinary general meeting on August 1, 2026 — the authorization was months old; the new information was the timing and the floor. The intimation reached the exchange at 22:31 IST, after the close.

Paid-up capital rises from ₹14,99,25,490 (1,49,92,549 shares) to ₹15,84,72,490 (1,58,47,249 shares). The filing reached the exchange at 23:45 IST on Friday, after the close, so the market's reaction to the final pricing and allottee list falls in the next session — beyond the price data in this report.

The figures themselves were unchanged. Separately, a filing of October 6 records that the board approved special-purpose condensed interim consolidated financials for the June quarter for inclusion in the placement document — the standard paper trail of a placement, not new operating information.
Seven names disclosed; one global fund took nearly a fifth of the issue
The annexure discloses allottees above 5% of the issue; the two HDFC funds are shown together at a combined 5.56%. The remaining ≈44% of the issue is not itemised in the filing.
The five foreign portfolio investors named — SmallCap World plus four Fidelity-branded vehicles — together took 4,33,395 shares, 50.7% of the issue. For scale: the company's entire FII holding as of June 30, 2026 was 5,91,779 shares. If these allottees are new to the register, this single placement comes close to rebuilding the foreign-institutional position from one transaction. That is arithmetic from the filing and the shareholding pattern, not a claim about anyone's intent; what the filing establishes is the price these institutions paid — ₹21,060, set within the SEBI ICDR floor-price framework — and the size they took.
Institutions bought 5.7% of new equity at ₹21,060 — 4.92% below the regulatory floor, and about 14% below where the stock closed the day the issue shut.
The stock rose through its own placement window
The sequencing matters for reading the discount. The ₹22,150 floor was fixed on October 6 under the Regulation 176 formula; the stock then rose roughly 6% over the four sessions the issue was open, closing October 9 at ₹24,575 — the same day it printed its 52-week adjusted high of ₹24,875. By the close of the issue, the ₹21,060 allotment price stood about 14.3% below the market price. Over the full sixty-session series the stock is up about 40% (₹17,553 on July 16 to ₹24,575), and it stands roughly 69% above its 52-week low of ₹14,499 set on April 2. The August 17 session — the first trading day after Q1 FY27 results were filed on the evening of Friday, August 14 — closed up 8.1% on the heaviest volume in the series (2,84,135 shares).
Revenue nearly doubled year-on-year in the quarter shown to QIP buyers
Q1 FY27 consolidated revenue of ₹191.80 crore is up 97% on Q1 FY26's ₹97.15 crore, with net profit of ₹29.19 crore against ₹5.16 crore a year earlier and an operating margin of 25.5%. The June quarter is also the period whose condensed interim financials the board approved for the placement document — it is, quite literally, the quarter the QIP was sold on. The company's August 17 press release, titled "PTC Industries Reports Strong Q1FY27 Performance; Strengthens Global Aerospace and Strategic Defence Manufacturing Platform", describes the company as a manufacturer of high-performance materials and precision-engineered components for critical aerospace and defence applications — the business the new capital attaches to. Note the standalone–consolidated gap: standalone Q1 FY27 revenue was ₹113.17 crore with ₹5.19 crore of profit, so most of the consolidated profit sits in subsidiary operations.
On ownership: promoters held 59.72% (89,53,441 shares) as of June 30, 2026. Promoter share counts don't change in a QIP, so on the enlarged base of 1,58,47,249 shares that holding works out to about 56.5% — a computed figure. The filing states the before-and-after shareholding pattern will be submitted with the listing application under Regulation 31, which is where the dilution and the new institutional holdings become official.

The trading window has been closed since October 1 until 48 hours after the September-quarter results. The question the results answer: whether Q1's near-doubled revenue run-rate holds on the larger equity base.

The institutional entry price sits about 14.3% below the October 9 close. How the stock trades relative to it once the new shares list is the cleanest read on post-placement supply.
The verifiable core of this event is narrow and strong: PTC Industries placed 8,54,700 new shares — 5.7% of its pre-issue equity — with qualified institutional buyers at ₹21,060 per share, raising about ₹1,800 crore, and the disclosed half of the allottee list is SmallCap World and four Fidelity vehicles plus two HDFC sector funds. The pricing sat 4.92% below a floor set by formula, while the market traded the stock up through the placement window to a 52-week high.
What the filings do not yet show is where the money goes and what the full register looks like afterwards. Both arrive mechanically — the listing application brings the shareholding pattern, and monitoring reports track deployment. Until then, the data points worth anchoring on are the ₹21,060 entry price, the ~56.5% computed promoter stake, and a Q1 FY27 that roughly doubled revenue year-on-year.
