On October 21, Seamec signed a contract with HAL Offshore Limited to charter out its vessel SEAMEC ANANT for deployment on ONGC inspection, maintenance and repair (IMR) jobs — approximately 1,225 days for about USD 55 million excluding GST. What makes the contract worth a close read is who sits on the other side: HAL Offshore is Seamec's promoter, holding 70.77% of the company per the filing's own annexure — and it is also the party Seamec bought this very vessel from, taking delivery just one week earlier, on October 14 at Kakinada. The filing states the transaction is a related-party transaction done at arm's length.

Charter contract with HAL Offshore for SEAMEC ANANT — ~1,225 days, about USD 55 million

Seamec and HAL Offshore Limited entered into a contract dated October 21, 2026 (executed 16:33 IST) for charter hire of vessel SEAMEC ANANT, for deployment with Oil and Natural Gas Corporation (ONGC) IMR jobs. The charter period is approximately 1,225 days, subject to HAL's Charter Hire Agreement with ONGC; total contract value is about USD 55 million exclusive of GST. The annexure records that HAL Offshore holds 70.77% of Seamec, is the promoter, and that the transaction is a related-party transaction done at arm's length. A follow-up filing on October 22 states the vessel was on hire with effect from October 21 at 22:00 hours.

Read:Seamec's revenue from this contract flows through its own promoter, and the charter's tenure is explicitly subject to HAL's separate agreement with ONGC — the end-client contract belongs to HAL, not Seamec. At roughly 3.4 years, it is a long commitment by the standard of the deployment updates the company files; the disclosed terms, however, give no pricing basis against which the arm's-length statement can be checked.

SEAMEC ANANT taken over from HAL Offshore at Kakinada

Seamec informed the exchange that vessel SEAMEC ANANT was taken over by Seamec Limited from HAL Offshore Limited at Kakinada on October 14, 2026 at 13:10 hours. The filing references the Memorandum of Agreement for purchase of the vessel dated July 21, 2026 and its addendums dated August 31, 2026, which amended Schedule I and the dates of Notice of Readiness and Cancelling Date. The purchase consideration is not stated in the exchange filings covered here.

Read:This completes the purchase leg of the loop: HAL sold the vessel to Seamec in July–October, and seven days after delivery became its charterer. The August 31 addendum filing had already flagged the purchase as a related-party transaction.

BSE filing, Oct 14, 2026

The sequence, as the filings record it: a Memorandum of Agreement dated July 21, 2026 for Seamec's purchase of SEAMEC ANANT from HAL Offshore; Addendums 1 and 2 on August 31 amending the schedule and delivery dates (the next session's close moved +0.6%); takeover of the vessel on October 14 at Kakinada; the charter contract back to HAL on October 21 at 16:33 hours; and the vessel on hire the same evening at 22:00 hours. Each step was disclosed as a related-party transaction. One number is absent throughout: what Seamec paid HAL for the vessel does not appear in any of these filings.

What the filing states, verbatim
The transaction will be Related Party Transaction and is on Arms' Length.

— Seamec, BSE filing annexure, Oct 21, 2026

Two details in the disclosures deserve note. First, the annexure puts HAL Offshore's stake at 70.77%, while the shareholding pattern as of June 30, 2026 shows the full promoter group at 72.72% (1,84,88,532 of 2,54,25,000 shares) — HAL is the promoter entity on this contract, not the whole promoter group. Second, the charter period is "approximately 1225 days, subject to HAL's Charter Hire Agreement with ONGC" — Seamec's revenue visibility on this contract is therefore only as durable as its promoter's own contract with ONGC, the terms of which are not disclosed in these filings.

What the pricing implies

USD 44,900 a day — and the one comparison the filings allow

*Implied rate computed here as total value ÷ stated days; the filings disclose only totals. The two contracts involve different vessels, different scopes of work and very different tenures — the filings provide no basis to treat them as comparable.

The arithmetic is simple: USD 55 million over roughly 1,225 days is about USD 44,900 a day; the SEAMEC II subcontract with G R Infraprojects — a third party — disclosed on September 30 works out to about USD 105,700 a day over its 180 days. That gap proves nothing by itself: SEAMEC II is contracted for subsea installation work, SEAMEC ANANT for IMR jobs, and a ~3.4-year commitment prices differently from a 180-day one. What the comparison does show is the limit of the disclosure. The arm's-length statement is the company's own characterisation, and nothing in the filings — no benchmark rate, no valuation, no vessel purchase price — lets a shareholder test it independently. That reading is an inference from what the filings omit, not a claim about the pricing itself.

The market treated the charter as close to a non-event: the first session after the October 21 filing closed at ₹1,570.00, flat (0.0%) on the prior close of ₹1,570.00. The takeover filing of October 14 was followed by a −1.5% session, and the August 31 addendum filing by a +0.6% one. The larger move is the drift: from the adjusted 52-week high of ₹1,849 on September 11, the stock has come off 15.1% to the October 22 close — against a 52-week adjusted low of ₹771.75 (November 10, 2025).

The quarterly record shows why tenure matters in this business. Consolidated revenue swung from ₹210.92 Cr in Q1 FY26 down to ₹97.42 Cr in Q2 FY26 — a quarter that produced a ₹25.73 Cr net loss — and back up to ₹327.07 Cr by Q4; Q1 FY27 came in at ₹296.92 Cr with ₹81.34 Cr of net profit at a 41.7% operating margin. Against that lumpiness, a charter of roughly 1,225 days reads as a visibility gain — an inference, since the filings make the tenure subject to HAL's own agreement with ONGC. The visibility Seamec gains is, in other words, concentrated on a single related-party counterparty.

What to watch

The filings that would complete the picture

  • Q2 FY27 results

The trading window closed from October 1 until 48 hours after results for the quarter and six months ended September 30, 2026. The first results after the ANANT purchase may show how the vessel and the charter enter the accounts.

  • ANANT purchase price

The consideration Seamec paid HAL for the vessel does not appear in the filings to date. Related-party disclosures accompanying the half-yearly results are the likeliest place for it to surface.

  • HAL–ONGC contract

The charter's ~1,225-day tenure is subject to HAL's Charter Hire Agreement with ONGC. Any disclosed change in that underlying agreement changes the value of this one.

  • SEAMEC II commencement

The USD 19.02 million G R Infraprojects charter was to commence in the window of October 15–31, 2026; a commencement intimation would confirm the second revenue stream.

The SEAMEC ANANT transactions are fully disclosed and, on the filings' own terms, routine: a vessel purchase from the promoter, delivery, and a multi-year charter back for deployment on ONGC work, each step intimated under Regulation 30 with the related-party nature stated. The market's flat (0.0%) response suggests investors saw it the same way.

What the disclosures do not yet provide is the material needed to evaluate the economics — the vessel's purchase price, the basis for the charter rate, or the terms of HAL's underlying ONGC contract. Until those appear, the arm's-length characterisation rests on the company's statement alone, and the forthcoming results and related-party disclosures are the data points that would let shareholders judge it.
