The fund-raise took six weeks from first word to cash. On September 10, after market hours, Venus Pipes & Tubes told the exchanges its board would meet on September 16 to consider raising money through a preferential issue or private placement. On October 27, at 3:02 pm — twenty-eight minutes before the close — the company filed the completion: 22,27,544 equity shares allotted at ₹1,670 each (face value ₹10, premium ₹1,660), raising ₹371.99 crore from eighteen allottees, every one of them categorised Non-Promoter/Public. The names read like a who's-who of India-dedicated institutional money: four Ashoka WhiteOak vehicles, four WhiteOak Capital funds, two Carnelian funds, two Tata mutual-fund schemes, Kotak Mahindra Life Insurance, and investor Ashish Kacholia in his own name.
From board approval to allotment, in three filings
Board approves a preferential issue of up to 22,27,544 shares at ₹1,670
At its September 16 meeting, the board approved the creation, issue, offer and allotment of up to 22,27,544 equity shares of face value ₹10 at ₹1,670 per share (including a ₹1,660 premium), aggregating up to ₹3,71,99,98,480 — ₹371.99 crore — for cash, to identified allottees on a preferential basis, subject to shareholder and regulatory approvals. The notice for an EGM on October 8 went out the same evening.
Read:The price and the buyer list were fixed on day one — everything after this was process. The ₹1,670 figure became the number the market could trade against.
BSE filing — Preferential Issue, Sep 16EGM held; outcome and scrutinizer's report filed the same evening
The Extraordinary General Meeting convened on October 8 at 3:00 pm IST over video conference, as per the September 16 notice (a corrigendum incorporating clarifications on the proposed preferential issue, advised by NSE, was dispatched on September 30). The outcome of the EGM and the scrutinizer's report were filed after market hours the same day.
Read:The October 27 allotment intimation references the October 8 letter as being regarding approval of the issue of equity shares on a preferential basis — the shareholder-approval condition the September 16 resolution was subject to.
BSE filing — Outcome of EGM, Oct 8Allotment completed: ₹371.99 Cr received from 18 non-promoter investors
The board passed a resolution on October 27 approving the allotment of 22,27,544 equity shares at ₹1,670 per share, aggregating ₹3,71,99,98,480, on a preferential basis. The filing lists all eighteen allottees with their share counts and amounts paid; each is categorised Non-Promoter/Public.
Read:The raise is done, at the price set in September. The stock closed the session 4.8% higher — the filing reached the exchange at 3:02 pm, only 28 minutes before the close.
BSE filing — Allotment, Oct 27The allotment filing itemises who paid what. Grouping related funds together: the Ashoka WhiteOak vehicles and the WhiteOak Capital funds between them took 9,15,446 shares for about ₹152.9 crore — roughly 41% of the issue. The two Carnelian Bharat Amritkaal funds put in ₹50 crore combined, and Kitara PIIN 2401 put in ₹50 crore separately, Ashish Kacholia and Bengal Finance and Investment ₹30 crore each, the two Tata schemes ₹30 crore combined, and Kotak Mahindra Life Insurance ₹20 crore.
Grouping of related funds is ours; the filing lists 18 allottees individually, all categorised Non-Promoter/Public. Amounts converted from rupees as filed.
The dilution math, computed from the filing and the June 30 shareholding pattern: 22.28 lakh new shares on a pre-issue base of 2,07,16,110 is 10.8% of the old count, or 9.7% of the expanded base. Because every allottee is non-promoter, the promoter holding falls from 48.41% to 43.71% on the expanded base, per Annexure B of the September 16 outcome filing [d707c6e4]. The raise itself equals roughly a tenth of the company's ₹3,709 crore market capitalisation at the October 27 close.
A round trip toward the issue price
The price path brackets the deal. From the September 10 close of ₹1,954, the stock rose +16.8% to a ₹2,282.9 close by September 18, two sessions after the ₹1,670 price was disclosed — the adjusted 52-week high of ₹2,347.3 printed on September 21. Then the entire run unwound: through October the stock slid to ₹1,709 by October 26, just 2.3% above the issue price. The allotment session itself closed +4.8% at ₹1,790.6 — the filing reached the exchange at 3:02 pm, 28 minutes before the close, and the allotment itself was the expected final step of a transaction priced six weeks earlier. At the October 27 close the stock sits ~7% above what the eighteen allottees just paid, and 23.7% below its September high.
Five quarters of sequential growth at a 16% margin
The company the money arrived at is a steady, mid-teens-margin grower: revenue has risen every quarter for five straight quarters, from ₹276.4 crore in Q1 FY26 to ₹320.5 crore in Q1 FY27 (+16.0% year-on-year, computed), with operating margin holding in a tight 16.1–16.4% band and quarterly net profit of ₹25–26 crore. Against that base the raise is large: ₹371.99 crore is about 3.6 times FY26's full-year net profit of ₹102.0 crore (computed from the quarterly numbers). Separately, on October 20 the company announced it had commenced commercial production of its pipe-spooling capacity ahead of the earlier December 2026 timeline, and its press release cites a letter of intent worth ₹185 crore — commissioning ahead of an anticipated customer order, in the company's words. Of the ₹371.99 crore raised, the EGM notice earmarks ₹344 crore for repayment or prepayment of existing borrowings and ₹28 crore for general corporate purposes, both within six months of allotment, with CARE Ratings appointed as the monitoring agency.

Use of the ₹372 Cr

December shareholding pattern
The new institutional names should appear, and the promoter percentage mechanically falls (≈43.7% computed on the expanded base, from 48.41%).

₹1,670 as a reference
The disclosed price eighteen institutional and HNI allottees paid. The stock closed October 26 within 2.3% of it before bouncing — how price behaves around that level is the cleanest read on whether the market treats it as a value marker.
What the filings establish: a ₹371.99 crore preferential issue, priced at ₹1,670 in mid-September, cleared shareholders on October 8 and completed on October 27, with eighteen non-promoter allottees — including Ashoka WhiteOak, WhiteOak Capital, Carnelian, two Tata schemes, Kotak Mahindra Life and Ashish Kacholia — receiving new shares equal to about a tenth of the expanded share base; collectively the eighteen now hold 13.80% of the company, a figure that includes stakes some already held before the issue. The recipient is a company that has grown revenue sequentially for five quarters at a stable 16% operating margin.
What they do not establish is what the buyers do next. A fixed-price allotment to recognised investors gives holders a disclosed benchmark, but it is a data point rather than a floor — the stock closed as much as 37% above the issue price (₹2,282.9, Sep 18) and within 2.3% of it last week. The proceeds are earmarked for debt repayment and general corporate purposes within six months; the September-quarter results and the December shareholding pattern are where this story gets its next verifiable facts.
