Wealth First executes its June deal: ₹52.1 Cr for 51% of promoter-group Wealth First Advisors
The SPA prices the target at ₹2,489.11 a share. A 1,36,575-share preferential issue at ₹885.89 — most of it to the MD — covers the ₹12.1 Cr swap leg. EGM on November 21.

special resolution on the issue
Wealth First Portfolio Managers signed the Share Purchase Agreement on October 26 to acquire up to 2,09,304 shares — 51.00% — of Wealth First Advisors Private Limited, a company the filing itself describes as belonging to the listed entity's promoter group. The total consideration is about ₹52.10 crore, paid partly in cash and partly through a share swap. This is execution, not news of a new deal: the board's outcome letter states it is "in continuation of our letter dated 30th June, 2026," when a Memorandum of Understanding was first disclosed. What the October 26 filing adds are the mechanics — the per-share price, the swap structure, who gets the new shares, and the shareholder vote that still stands between signature and consummation.
One SPA, one preferential issue, one EGM
Board approves the SPA, a ₹12.10 Cr preferential issue, and an EGM for November 21
At its meeting held 11:00–11:55 AM on October 26 (the outcome reached the exchange at 12:04 IST), the board approved three linked items. First, a Share Purchase Agreement dated October 26, 2026 between the company, Wealth First Advisors Private Limited and the target's existing shareholders, to acquire up to 2,09,304 equity shares — 51.00% of the target's equity — for about ₹52.10 crore, partly in cash and partly through a share swap, at ₹2,489.11 per target share. Consummation is subject to conditions precedent including statutory approvals. Second, a preferential issue of up to 1,36,575 equity shares of face value ₹10 at ₹885.89 each (premium ₹875.89), aggregating up to ₹12.10 crore, for consideration other than cash — issued against up to 48,603 target shares (11.84% of the target) held by three selling shareholders. Third, an Extra-Ordinary General Meeting on Saturday, November 21, 2026 at 2:00 PM via video conference, where the issue requires a special resolution.
Read:Per the filing, the acquirer "will acquire control over the Target Company." The structure matters as much as the headline number: the swap leg routes new listed-company shares to the target's selling shareholders — the largest of whom is the company's own managing director — while the cash leg covers the rest.
Board meeting outcome, BSE filing, Oct 26, 2026The filing gives two totals — about ₹52.10 crore for the whole acquisition and up to ₹12.10 crore for the share-swap leg — which implies a cash leg of roughly ₹40.0 crore for the remaining 1,60,701 target shares. At the disclosed SPA price of ₹2,489.11 per share, the 2,09,304 shares being 51.00% implies about 4,10,400 target shares in total, which would value 100% of Wealth First Advisors at roughly ₹102 crore — these last two figures are arithmetic from the filing's numbers, not stated in it. For scale, ₹52.10 crore is about 5.9% of the listed company's ≈₹890 crore market capitalisation.
The filing's own disclosure of who sits on both sides
The annexure is explicit: the target "is an entity belonging to the Promoter Group of the Listed Company," and the acquisition "constitutes a related party transaction." Promoter and Managing Director Ashish Shah holds a 9.24% beneficial interest in the target — and is also the largest proposed allottee of the preferential issue, receiving up to 1,06,536 of the 1,36,575 new shares (78% of the issue) against his 37,913 target shares. The filing states the acquisition is being undertaken on an arm's-length basis, with consideration based on a valuation report from Den Valuation (OPC) Private Limited, an independent registered valuer, and that related-party-transaction approval was already obtained at the 24th AGM held on September 24, 2026. The November 21 special resolution on the preferential issue is the remaining shareholder gate.
Pre/post holding percentages as disclosed in the filing. Total swap: 48,603 target shares (11.84%) for up to 1,36,575 new shares.
The dilution is modest: 1,36,575 new shares on the existing base of 1,06,55,000 expands the share count by about 1.3%. The exchange ratio works out to roughly 2.81 new WEALTH shares per target share, which is simply the SPA price of ₹2,489.11 divided by the issue price of ₹885.89. That issue price — which the filing says was determined under the Chapter V pricing formula of the SEBI ICDR Regulations, with Thursday, October 22, 2026 fixed as the relevant date — sits about 6% above the October 26 close of ₹835.25, meaning the allottees take paper priced above where the stock last traded. Mr. Shah's stake in the listed company moves from 32.16% to 32.74% per the filing's own pre/post table; the promoter group as a whole held 74.04% as of June 30, 2026.
A muted session for a pre-announced deal
The stock closed the filing session down 1.7% at ₹835.25 — a muted move, consistent with a transaction the market has known about in outline since the June 30 MoU. The close sits about 31.5% below the 52-week adjusted high of ₹1,219 (November 10, 2025) and about 7.8% above the 52-week low of ₹774.95 (February 5, 2026). Liquidity is thin — 1,028 shares traded on October 26 — which is exactly the amplification risk flagged in the callout above.
What the acquirer earns — and what the filing doesn't say about the target
The acquirer's own quarters are lumpy — consolidated revenue has ranged from ₹6.49 crore to ₹20.57 crore over the last four quarters, with net profit between ₹0.77 crore and ₹11.07 crore; the latest quarter (Q1 FY27) delivered ₹14.32 crore of revenue and ₹10.42 crore of net profit. What the board-meeting outcome does not disclose is the target's own revenue or profit — so shareholders being asked to approve a ₹52.10 crore related-party purchase, and a share issue against it, are so far working from a price (₹2,489.11 per target share) and a valuer's name, not the target's numbers. The filing says the EGM notice and e-voting details "will be given separately in due course"; that notice is where fuller detail should land before the November 21 vote.
The gates between signature and closing
EGM notice
The notice for the November 21 EGM, promised "separately in due course" — watch for the target's financials and the valuation detail behind ₹2,489.11 a share.
Nov 21 vote
The special resolution on the preferential issue. The filing also makes the issue subject to stock-exchange and other approvals.
SPA conditions
Consummation is subject to conditions precedent including statutory approvals, per the filing — completion is not automatic on signing.
Allotment outcome
Post-allotment shareholding versus the filing's pre/post table — the MD at 32.74%, share count at 1,07,91,575.
Q2 FY27 results
The trading window has been closed since October 1 pending September-quarter results — the first post-deal look at the acquirer's own P&L.
The October 26 filings convert June's memorandum into a signed agreement with disclosed mechanics: ₹52.10 crore for 51% of a promoter-group company, roughly ₹40 crore of it in cash and ₹12.10 crore in new shares issued at ₹885.89 — a price about 6% above the day's close — mostly to the managing director, whose listed-company stake edges up to 32.74%. The dilution, at about 1.3% of the share count, is small; the governance weight of the vote is not, because the same names appear as acquirer management, target shareholders, and preferential allottees.
The company has disclosed the related-party nature, the valuer, the arm's-length assertion, and the prior AGM approval — the process boxes the regulations require. What minority shareholders do not yet have is the target's financial picture at the ₹102 crore implied valuation. Until the EGM notice fills that in, the November 21 vote is the event that matters.
