Harley-Davidson, Inc. announced a change in its senior legal leadership. Paul Krause will step down from his role as Chief Legal, Compliance and Corporate Affairs Officer and Corporate Secretary, effective June 29, 2026. He will remain in an advisory capacity until September 1, 2026, to ensure a smooth transition, after which he will depart the company with severance benefits. Concurrently, Gayle Littleton has been appointed as the new Chief Legal, Compliance and Corporate Affairs Officer and Corporate Secretary, with her tenure also beginning on June 29, 2026.

Harley-Davidson, Inc. shareholders approved an amendment to the 2020 Incentive Stock Plan, increasing the authorized shares to 12,200,000. This approval occurred at the 2026 Annual Meeting, where shareholders also re-elected all director nominees, approved executive compensation on an advisory basis, and ratified Ernst & Young LLP as the independent auditor. A shareholder proposal regarding a climate transition plan was rejected.

Harley-Davidson reported a significant decline in Q1 2026 net income, falling 81.4% to $24.8 million, with diluted EPS at $0.22. Total revenue decreased by 11.8% to $1.17 billion, primarily due to a 54.3% drop in financial services revenue and a 2.2% decrease in motorcycles and related products revenue. Operating income also saw a sharp decline of 85.4% to $23.5 million, and the company used $228 million in cash from operating activities compared to providing $141.5 million in the prior year. The effective income tax rate increased to 42.7% from 26.5%.

Harley-Davidson reported its first quarter 2026 results, with diluted EPS falling 79% to $0.22 and consolidated revenue decreasing 12% to $1.173 billion. Operating income also saw a significant decline of 85%. Despite these financial downturns, the company achieved an 8% increase in global retail motorcycle sales, driven by a 14% rise in North America, and reduced global dealer inventories by 22%. The company also repurchased $128 million in shares and reaffirmed its full-year 2026 financial outlook.
