Frontier Capital: Acquirers to buy 56.07% stake, launch Open Offer for 26%

Acquirers Mr. Prafful Agarwal and Mrs. Anupam Gupta have entered into a Share Purchase Agreement (SPA) dated October 13, 2026, to acquire 93,98,455 Equity Shares, representing 56.07% of Frontier Capital Ltd's equity and voting share capital, from promoters Mr. Anirudh Bhuwalka and M/s. Inimitable Capital Finance Private Limited. The acquisition price is ₹10 per Equity Share. This transaction triggers an Open Offer under SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The Acquirers will make an Open Offer to acquire up to 43,58,163 Equity Shares, representing 26.00% of the total equity, from public shareholders at a price of ₹10.20 per Equity Share.
