Frontier Capital: Open Offer for 26% Stake at ₹10.20 per Share

Frontier Capital Ltd announced an Open Offer to acquire up to 43,58,163 equity shares, representing 26.00% of the total equity, at a price of ₹10.20 per share. This follows a Share Purchase Agreement (SPA) dated October 13, 2026, where Acquirers Mr. Prafful Agarwal and Mrs. Anupam Gupta agreed to purchase 93,98,455 equity shares (56.07% stake) from Promoters Mr. Anirudh Bhuwalka and M/s. Inimitable Capital Finance Private Limited for ₹10 per share. The acquisition of over 25% stake with control triggers the Open Offer requirement under SEBI (SAST) Regulations. The transaction is subject to statutory approvals and satisfaction of conditions precedent in the SPA.
