Hindware Home Innovation: NCLT Sanctions Scheme of Arrangement

Hindware Home Innovation Limited announced that the National Company Law Tribunal (NCLT), Kolkata Bench, has sanctioned the Composite Scheme of Arrangement. This scheme involves the demerger of the consumer products business into HHIL Limited (Resulting Company) and the amalgamation of the remaining business into Hindware Limited (Transferee Company). The scheme, previously disclosed on various dates starting from March 27, 2025, was approved by the NCLT via an order dated October 14, 2026. The scheme will become effective upon filing the NCLT order with the Registrar of Companies. This marks a significant corporate restructuring for the company.
