Madhav Infra Promoter Group Inter-se Share Transfer of 54.34 Lakh Shares

Madhav Infra Projects Ltd has filed a disclosure regarding an inter-se transfer of 54,34,764 equity shares (2.016% of total share capital) within the promoter group. The transfer is proposed to occur via a Gift Deed from Mr. Ashok Madhavdas Khurana to Mrs. Neelakshi Amit Khurana, on or after August 12, 2026. This transaction is exempt from open offer requirements under Regulation 10(1)(a)(ii) of SEBI (SAST) Regulations, 2011, as it involves a transfer among promoters who have been part of the promoter group for at least three years. The total shareholding of the promoter group will remain unchanged post-transfer.
