Prima Innovation: Promoter Acquires 3.70% Stake via Gift

Prima Innovation Ltd has filed a disclosure regarding an inter-se transfer of shares among promoters. Dilip Manharlal Parekh will acquire 4,06,530 equity shares, representing 3.70% of the total share capital, from Mrs. Madhavi Dilip Parekh. This acquisition is structured as a gift, with no consideration being paid. Consequently, the acquirer is exempt from making an open offer under Regulation 10(1)(a)(i) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
