Shanti Educational Issues Letter of Comfort for Uniformverse

Shanti Educational Initiatives Ltd issued a Letter of Comfort in favor of its subsidiary, Uniformverse Private Limited, on May 21, 2026. The Letter of Comfort is issued to ICICI Bank Limited, for credit facilities availed by Uniformverse amounting to ₹59.10 Million. Shanti Educational Initiatives affirms that it will not dilute its beneficial ownership in Uniformverse without prior written consent from ICICI Bank in case of non-fulfilment of commitment by borrower and also in form of assurance to keep ICICI indemnified against any losses cause on account of nonfulfillment of any obligation(s) of the Borrower. The promoter group has no interest in this transaction. The letter is a comfort and not a guarantee unless a separate Deed of Guarantee is executed.
