NCLT admits Somany Ceramics amalgamation scheme

Somany Ceramics Ltd announced that the National Company Law Tribunal (NCLT), Kolkata Bench, issued an order on July 21, 2026 (received July 27, 2026), admitting the Second Motion Petition for a Scheme of Amalgamation. The scheme involves the merger of Somany Bathware Limited, Somany Excel Vitrified Private Limited, and SR Continental Limited (collectively, "Transferor Companies") with and into Somany Ceramics Limited ("Transferee Company"). The amalgamation is proposed under Sections 230 to 232 of the Companies Act, 2013, with an appointed date of April 1, 2025. The NCLT has fixed the next hearing date for August 28, 2026. Meetings of equity shareholders and unsecured creditors of Somany Ceramics were previously held on June 13, 2026, as per NCLT directions, while meetings for other stakeholders were dispensed with.
