Certain e-Forms DIR-12 have been filed without the knowledge, authority, consent, or ratification of the Company or its Board, reflecting cessation of existing directors and appointment of new directors. The Company states that no Board Meeting was convened for approving any resignation, cessation, or appointment of directors. No notice of resignation was received from the concerned directors. No shareholders’ approval was sought or granted. The Company confirms that the following five directors continue to remain validly appointed and in office: Mr. Vivekkumar Maheshkumar Padhiyar, Mr. Abhishek Pratpkumar Thakkar, Ms. Rupinder Manjotsingh Oberoi, Mr. Kiritbhai Solanki, and Mr. Patel Vaibhavkumar Anilbhai. The Company and the aggrieved directors have lodged formal objections and representations with the Registrar of Companies (ROC) seeking rectification of records. They have also escalated the matter to the Regional Director (RD) and filed complaints with SEBI / SCORES. The Company expressly disowns and repudiates all acts purportedly carried out by any unauthorized persons and undertakes to fully indemnify, defend, and hold harmless the five continuing directors against any present or future loss, damage, cost, penalty, claim, demand, proceeding, legal expense arising directly or indirectly out of or in connection with such unauthorized filings, false disclosures, or misuse of digital signatures.
