Veranda Learning: NCLT Order for Composite Scheme of Arrangement Effective

Veranda Learning Solutions Ltd (VLS) announced that the Composite Scheme of Arrangement involving VLS, Veranda XL Learning Solutions Private Limited (VXLS), and J.K.Shah Commerce Education Limited (JSCEL) has become effective. The National Company Law Tribunal (NCLT), Chennai Bench, sanctioned the scheme, and its certified true copy was filed with the Registrar of Companies on August 31, 2026. This date is the Effective Date. Consequently, August 31, 2026, is also the First Appointed Date for the amalgamation of VXLS into VLS, increasing VLS's authorized share capital. September 01, 2026, is the Second Appointed Date, marking the demerger of VLS's Commerce Business into JSCEL.
