On October 12, after market hours, Bonanza Portfolio Limited — a SEBI-registered merchant banker, appointed Manager to the Offer under Regulation 12(1) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 — informed BSE that Aikyam Financial Services Private Limited had announced an open offer for up to 11,85,002 equity shares of Inani Securities Limited, representing 26% of its equity and voting share capital on a fully diluted basis. The Manager's filing states the offer was announced pursuant to the execution of a Share Purchase Agreement and in compliance with Regulations 3(1) and 4 read with 13, 14 and 15(1) of the takeover regulations. The company's own announcements, filed pre-open on October 13, state the price: ₹60 per share, in cash, to be acquired from the public shareholders.
From Public Announcement to Detailed Public Statement in a week
Bonanza Portfolio files the open-offer Public Announcement
Filed at 18:16 IST, after market close, on the same evening the board approved Q2 FY27 results (filed 17:04–17:13 IST). Bonanza Portfolio, as Manager to the Offer, submitted the Public Announcement: pursuant to the execution of a Share Purchase Agreement, Aikyam Financial Services announced an open offer for up to 11,85,002 equity shares — 26% of the equity and voting share capital on a fully diluted basis. The company's Regulation 30 announcements followed at 00:04 and 00:18 IST on October 13, stating the cash offer price of ₹60 per share of ₹10 face value.
Read:The Share Purchase Agreement names 14 Selling Shareholders — all promoters and promoter entities, led by Ramakanth Inani — transferring 25,94,214 shares (56.92%) to Aikyam Financial Services Private Limited at ₹60 per share, aggregating ₹15,56,52,840 (about ₹15.57 crore). The sale takes promoter holding to zero and installs Aikyam as the new promoter; the 26% open offer is the mandatory tender to public shareholders that follows from this change of control.
Public Announcement — Bonanza Portfolio, BSE filing, Oct 12, 2026Detailed Public Statement filed with SEBI and published in four newspapers
The Detailed Public Statement dated October 19, filed by Bonanza Portfolio on behalf of Aikyam Financial Services, was submitted to SEBI and uploaded on the BSE, merchant banker's and company websites. It was published the same day in Financial Express (English, all editions), Jansatta (Hindi, all editions), Mumbai Lakshadeep (Marathi, Mumbai) and Mana Telangana (Telugu, Hyderabad). It restates the terms: up to 11,85,002 shares, 26% of fully diluted capital, ₹60 per share in cash from public shareholders. The company's Regulation 30 confirmation reached the exchange at 21:31 IST, after close.
Read:The statement formalises the terms already announced on October 12–13; the filings in this pack do not yet state the offer's opening and closing dates.
Detailed Public Statement — BSE filing, Oct 19, 2026The arithmetic of the offer is unusually stark. Inani Securities has 45,57,700 shares outstanding; 26% of that is exactly the 11,85,002 shares sought. Promoters hold 56.92% (25,94,214 shares), leaving public shareholders with roughly 19.63 lakh shares — so the offer, at its maximum, would absorb about 60% of everything the public collectively holds (our computation from the June 2026 shareholding pattern). At ₹60 per share the acquirer's maximum outlay is about ₹7.11 crore, against a market capitalisation of roughly ₹15.4 crore at the October 19 close of ₹33.70. The offer price stands 78% above that close.
A thin stock that ran before the offer and jumped after it
Two things stand out on the chart. First, the stock had already run from ₹19.55 on July 24 to ₹33.00 on August 24 — a 69% move in a month, touching its 52-week adjusted high of ₹33.86 — nearly two months before the Public Announcement, on daily volumes that rarely exceeded a few thousand shares. The filings in this pack say nothing about that move. Second, the post-announcement reaction was modest: +5.0% to ₹33.70 on October 13, then no recorded trades until October 19, which closed flat. A stock trading 44% below a live cash offer price is arithmetic, not opinion; why it trades there is inference — one reading is that with the offer capped at about 60% of the public holding and sessions where only a few hundred shares change hands, the market is not treating ₹60 as a price every share can realise.
A business measured in lakhs, not crores
₹0.3563 crore = ₹35.63 lakh, and so on. Q2 FY27 results were approved at the October 12, 2026 board meeting — the same day as the open-offer Public Announcement.
The target is a very small brokerage operation: quarterly revenue has stayed between ₹25 lakh and ₹36 lakh over the last five quarters, and the best quarterly net profit in that span is Q2 FY27's ₹7.95 lakh. Two recent filings add governance context a tendering shareholder may weigh. On September 26 the company submitted revised FY26 financial statements after the exchange flagged a discrepancy in the cash flow statement and EPS inadvertently reported as zero — the company attributed both to errors while uploading to the exchange portal. And at the September 23 AGM the two promoter-family directors swapped designations: Lakshmikanth Inani moved from Managing Director to Whole-Time Director, and Vishnukant Inani from Whole-Time Director to Managing Director, alongside adoption of a new Memorandum and Articles of Association.
The filings that complete the picture
Offer schedule
Neither the Public Announcement nor the Detailed Public Statement excerpts in the record state when tendering opens and closes. The next open-offer documents on BSE should set the dates.
The SPA
The tendering period dates for the open offer — not yet disclosed in the filings on file; the Letter of Offer should specify the opening and closing window once issued.
Price vs ₹60
Whether the market price converges toward the offer price. Last close ₹33.70 on 789 shares traded; several October sessions show no trades at all.
Q3 FY27 results
The next quarterly numbers will land during or after the offer period and show whether the ₹7.95 lakh Q2 profit was a one-quarter uptick.
The facts on file are clear: a Share Purchase Agreement under which all 14 promoter sellers exit their entire 56.92% stake (25,94,214 shares) to Aikyam Financial Services at ₹60 per share, aggregating ₹15.57 crore, has been executed, and an open offer for 26% of Inani Securities at the same ₹60 cash price has been publicly announced and formalised in a Detailed Public Statement, with a maximum cheque of about ₹7.11 crore. What the filings so far withhold — the tendering period dates — is what a public shareholder still needs to complete the decision.
Until those documents arrive, the tradeable fact is the gap: ₹33.70 on the screen against ₹60 on paper, in a stock where a few hundred shares can be a day's entire volume. Holders weighing the offer may want to anchor on the filed terms rather than the screen price, and watch the BSE filings page for the offer schedule.
