After Friday's close on October 23 — at 17:04 IST, so the market has not yet traded on the news — Sancode Technologies told the exchange that its subsidiary, Sancode Semi Private Limited, has entered into an agreement to acquire 100% of the share capital of Cirtek Electronics Corporation ("CEC"), a company incorporated in the Republic of the Philippines with its registered office at Laguna Technopark, Biñan City. The stock had closed that same day at ₹1,011.20 — its 52-week high.

Sancode Semi signs agreement to acquire 100% of Cirtek Electronics Corporation

The Regulation 30 disclosure states that Sancode Semi Private Limited, a subsidiary of the company, has entered into an agreement to acquire 100% of the share capital of CEC, subject to the satisfaction of condition precedents, the terms and conditions of the definitive agreements, and receipt of applicable approvals, if any. The annexure describes CEC as belonging to the semiconductor industry, with authorised capital of USD 13.5 million, paid-up share capital of USD 4.05 million, and FY2025 turnover of USD 26.62 million. The filing states the transaction is not a related-party transaction. It reached the exchange at 17:04 IST on Friday, after market close — the first session that can react to it is the next trading day.

Read:The filing's stated rationale is that the acquisition "will further strengthen the access to technology, intellectual property and proprietary know-how of the Semiconductor OSAT operations of the Company." For a company whose chip-packaging subsidiary is still building its first facility, buying an operating overseas semiconductor company outright would be a step-change in scale and ambition; the filing does not disclose a consideration figure for the transaction.

BSE filing, Oct 23, 2026 — Regulation 30 acquisition disclosure

The annexure for the CEC acquisition fills in only the target's name, size, related-party status and industry — it does not state a consideration figure, payment structure or timeline. The pack text referencing "Rs. 239,59,95,539.39" and a "730 Days"/EPC Agreement execution period carries a different registered office (Mancheswar Industrial Estate, Bhubaneswar) and a different contact email, and appears to be extraction noise from an unrelated filing rather than Sancode's own disclosure — it should not be read as the Cirtek consideration. The filing also does not state how the purchase would be funded. For a buyer whose latest reported consolidated period produced ₹7.46 crore of revenue and a ₹0.11 crore net loss, the funding mechanics are an open question the filing leaves unanswered.

The OSAT build-out

The acquisition lands on a greenfield project, not an operating business

growth

Sancode Semi appoints Jerry A. Agnes as CEO for the greenfield OSAT facility

Eleven days before the acquisition filing, Sancode Semi appointed Mr. Jerry A. Agnes as its Chief Executive Officer, effective October 15, 2026. Per the filing, he will lead the setting up and operationalisation of Sancode Semi's greenfield Outsourced Semiconductor Assembly and Test (OSAT) facility at Info Valley–II, Bhubaneswar, Odisha, on 20 acres allotted by IDCO — covering facility design, equipment selection and installation, process and customer qualification, and ramp-up to commercial production. The filing describes him as a semiconductor industry executive with over 35 years of global experience, reporting to the board of Sancode Semi.

Read:The CEO filing's own language — "setting up and operationalisation", "ramp-up to commercial production" — establishes that the OSAT business is a project under construction, not yet an operating plant. Read together with the acquisition filing's stated rationale of access to technology, IP and know-how, the sequence suggests Sancode is trying to buy capability abroad while it builds capacity at home. That is an inference from the two filings' wording, not something either filing states.

BSE filing, Oct 12, 2026 — CEO appointment in Sancode Semi

The +2.0% on the CEO announcement should be read with heavy discounting, because — as the chart below shows — this stock has moved almost exactly +2% on most sessions for three months, with or without news. Reaction figures carry little information when the tape itself is this mechanical.

Sancode Technologies (BSE 543897), split/bonus-adjusted daily closes, last 60 sessions to Oct 23, 2026. Source: BSE daily series.

The series is +196% in 60 sessions — ₹341.00 on July 8 to ₹1,011.20 on October 23 — with 57 up sessions, one flat session (Aug 20) and exactly one down session (Oct 16, −2.0%) across the 59 session-over-session moves. The daily gains cluster almost uniformly around +2%, and volumes are tiny: most sessions traded between 500 and 8,000 shares, with the single heaviest day at 21,500 shares (Sep 29). Stretched to the full year, the stock is up more than elevenfold from its 52-week low of ₹89.35 on January 22. As of the 1-June-2026 shareholding snapshot, 0.52 crore shares were outstanding and promoters held 65.58%; a later filing shows total shares had grown to 74,55,560 by 30-September-2026, so the tradable float and promoter share today are likely different from that snapshot. A pattern of near-identical daily increments on volumes this small suggests very limited free trading rather than broad price discovery, which means Friday's acquisition news may take multiple sessions to be genuinely priced. That reading of the tape is an inference from the series; the data itself is as plotted.

A small revenue base, and new money on the register

FY24 Q43.92-0.63-0.69-1.7
FY24 Q20.84-1.06-1.06-2.64

Consolidated figures as reported to the exchange; Q2 and Q4 are the periods available in exchange records for these years.

The operating business is growing from a very low base — consolidated revenue went from ₹0.84 crore in FY24 Q2 to ₹7.46 crore in FY26 Q2 — but profitability is patchy: of the five reported periods above, only FY25 Q4 was profitable (₹1.82 crore). Meanwhile the register is changing. Between March 31 and June 1, 2026, total shares outstanding rose from 4,068,867 to 5,179,978 — 1,111,111 new shares — of which the shareholding pattern shows 444,444 added to the promoter holding (which grew to 3,396,965 shares even as the promoter percentage fell from 72.56% to 65.58%) and 666,667 appearing on the FII line. An October 6 disclosure under Regulation 29(1) of the SAST Regulations, from North Star Opportunities Fund VCC – Lighthouse Capital Incorporated VCC sub-fund, records the credit of equity shares pursuant to conversion of warrants into equity under a preferential issue, with the investment made through the FDI route. That same disclosure shows the company's total share capital had already risen to 74,55,560 shares by 30 September 2026 — well above the 5,179,978 total as of June 1 — so if the promoter's 3,396,965 shares were unchanged, the promoter stake would already be near 45.6%, not 65.58%. The company is raising equity capital in stages while its subsidiary takes on a construction project and now a signed cross-border acquisition.

What to watch

The filings that would change this picture

  • Definitive agreements

The exact consideration, payment structure and funding source for the Cirtek acquisition — the annexure does not state these, and the definitive agreements are where the real terms will be confirmed.

  • Condition precedents & approvals

The filing makes completion subject to condition precedents and applicable approvals, if any. Any filing confirming satisfaction — or lapse — of these conditions is the next material event.

  • H1 FY27 results

The trading window has been closed since October 1 until 48 hours after results for the half year ended September 30 are communicated; the board meeting date is yet to be intimated. These numbers will show the revenue base funding this ambition.

  • Next shareholding pattern

The current promoter percentage: a 6 October 2026 filing shows total share capital already at 74,55,560 shares as of 30 September 2026 — well above the 5,179,978 total behind the 65.58% figure — which would put the promoter stake well below 65.58% if their own share count is unchanged.

  • The first session's trade

Monday is the first session that can react to the acquisition filing. Watch whether volume expands beyond the recent 500–8,000-share norm — without that, the price move will say little.

The filing is unambiguous about intent: a subsidiary of a ₹524-crore company has signed to acquire 100% of a Philippines semiconductor company with USD 26.62 million of FY2025 turnover, to strengthen access to technology, IP and know-how for an OSAT operation that is itself still a greenfield project in Bhubaneswar. What the filing does not yet establish is execution: the consideration and timeline rows carry order/contract formatting, funding is undisclosed, and completion is conditional on approvals and condition precedents.

The stock enters this event at its 52-week high after sixty sessions in which it fell exactly once, on volumes that rarely exceeded a few thousand shares. The data suggests the market's verdict on this transaction has not yet been rendered — the conditions for rendering it, in volume terms, have barely existed. The filings listed above, not the tape, are where this story will resolve.
