The merger was completed under applicable U.S. laws, with the certificate of merger received on May 7, 2026. Following the merger, Dalco GF Technologies, LLC becomes a wholly-owned step-down subsidiary of AAML. The cash consideration for the merger was USD 85.40 million as part of internal group structuring.

Arvind Advanced Materials Limited (AAML), a wholly-owned subsidiary of Arvind Ltd, has acquired approximately 61% stake in Dalco-GFT, a U.S.-based manufacturer of specialized needle-punched non-woven specialty fabrics. Dalco-GFT has a top line of ~$100 million with an EBITDA margin of ~17% and ROCE of ~40% in CY25. The acquisition allows AAML to enter the US technical textile market and is expected to be margin and EPS accretive to Arvind Ltd. The deal aims to leverage synergies through cross-sourcing and technology integration, expanding AAML's customer base and sector coverage.
