Cube Highways Trust has announced the closure of its trading window for dealing in the securities of the InvIT. This closure is effective from July 01, 2026, and will remain in effect until 48 hours after the announcement of the financial information for the quarter ended June 30, 2026. This measure is in compliance with SEBI (Prohibition of Insider Trading) Regulations, 2015, and the company's internal policy on unpublished price-sensitive information. The announcement was made by Cube Highways Fund Advisors Private Limited, acting as the Investment Manager.

Cube Highways Trust, through its Investment Manager Cube Highways Fund Advisors Private Limited, has approved the allotment of senior, secured, rated, listed, redeemable, non-convertible debt securities (Debentures). The total amount raised is ₹637 crore, with 63,700 debentures issued at a face value of ₹1,00,000 each. These debentures carry a coupon rate of 7.3925% and have a tenor of 11 years, 9 months, and 2 days. The allotment is being made on a private placement basis, in accordance with SEBI regulations.

Cube Highways Trust has informed the exchange about the appointment of Cube Highways Asset & Project Advisory Private Limited (CHAPA(P)L) as the new project manager, replacing Cube Highways and Transportation Assets Advisors Pvt. Ltd. (CHTAAPL). This change is effective from June 26, 2026, following the approval from the National Highways Authority of India (NHAI). A new project implementation and management agreement has been executed among the Trustee, Investment Manager, the new Project Manager, and the SPVs.

Cube Highways Trust has disclosed a material issue concerning its Special Purpose Vehicle, Western UP Tollway Private Limited (WUPTPL). The concession period for the Meerut to Muzaffarnagar section of NH 334, spanning 77.8 kilometers, expired on June 23, 2026. WUPTPL, originally incorporated in 2005, operated this project on a Build-Operate-Transfer (BOT) basis. The Investment Manager is currently evaluating future actions for WUPTPL and will comply with regulatory requirements and act in the best interest of unitholders. Upon successful handover to NHAI and fulfillment of contractual obligations, a vesting certificate will be issued.

Cube Highways Trust announced a Q4 FY26 distribution of ₹3.57 per unit, bringing the annual distribution to a record ₹13.77 per unit. Since listing, cumulative distributions total ₹34.86 per unit, achieving a 23.7% IRR over three years. The balance sheet remains robust with net debt to AUM at 46.82% and AAA ratings. The weighted average cost of debt improved by 66 basis points to 7.53%. The portfolio showed strong operating performance in Q4, with 9.2% year-on-year traffic growth and 10.8% year-on-year toll revenue growth. For the full year, traffic grew 8.1% and revenue 10.6%, outperforming FY26 projections by 3.2%. Claims for annual passes are stabilizing, with 78% settled by NHAI. For FY27, GDP growth is moderated to 6.5%, and traffic growth is projected at 3% due to geopolitical factors and upcoming corridor diversions, leading to an expected toll revenue growth of 6.4%. However, toll collection through May 25, 2027, shows over 10% year-on-year growth.

Cube Highways Trust has revised its Investor Presentation for Q4FY26, correcting typographical errors on Slide 8 (Debt/EBITDA to 4.21x) and Slide 22 (Revenue growth rate to 8.8%). The revised presentation was submitted to the Exchange on May 27, 2026.

Cube Highways Trust announced the appointment of M/s Ernst & Young LLP as the Internal Auditor for FY 2026-27. Additionally, M/s Ernst & Young Merchant Banking Services LLP has been appointed as the Valuer of the InvIT for FY 2026-27, subject to unitholder approval. These appointments were approved by the Board of Directors of Cube Highways Fund Advisors Private Limited, acting as the investment manager, based on the recommendation of the Audit Committee and in consultation with Axis Trustee Services Limited, the Trustee of the InvIT.
