Goodricke Group Ltd has executed an Agreement for Sale with M/s Chalouni Plantation Pvt. Ltd. for the transfer of Estates, Bearer Plants, and Specified Assets comprising the Chalouni Tea Estate. This follows a due diligence process by the buyer. Possession of the assets has been transferred to the buyer, while the transfer of leasehold rights is subject to the approval of the West Bengal Government. Goodricke Group Ltd. announced that its Registrar and Transfer Agent (RTA), C B Management Services Private Limited, has been amalgamated with MUFG Intime India Private Limited, effective May 8, 2026. This merger was approved by the Regional Director (Western Region), Registrar of Companies, Mumbai. Consequently, the RTA's name has been changed to MUFG Intime India Private Limited, with SEBI Registration No. INR000004058. There is no change in the scope of services to shareholders and investors.

Goodricke Group Ltd has executed a Non-binding Memorandum of Understanding (MoU) with Mr. Ashok Kumar Goyal and Mrs. Suman Goyal for the proposed sale of Chalouni Tea Estate. The MoU, approved by the Board of Directors, is non-binding and subject to satisfactory due diligence. The Chalouni Tea Estate contributed 1.9% of the total turnover of the Company during the last financial year 2024-25, amounting to Rs. 17.39 Crores. The expected completion date of the sale is on or before 15th May, 2026, with a consideration of Rs. 19,00,00,000 exclusive of applicable taxes. The buyers, Mr. Ashok Kumar Goyal and Mrs. Suman Goyal, are not part of the promoter/promoter group or group companies.

The purpose of this closure is to regulate, monitor, and report trading by Designated Persons.

Goodricke Group Ltd has executed a Non-binding Memorandum of Understanding (MoU) with Mr. Akshay Shankar Das for the proposed sale of Barnesbeg Tea Estate. The MoU is non-binding and the execution of a definitive agreement will be subject to satisfactory due diligence. The Board of Directors has approved the execution of the MoU. The Barnesbeg tea estate contributed 0.25% of the total turnover of the Company during the last financial year, fetching an average annual own crop of 44,000 Kgs of tea. The expected date of completion of the sale is 31st March, 2026. The consideration for the sale is Rs.4,50,00,000/- exclusive of applicable taxes. The buyer, Mr. Akshay Shankar Das, does not belong to the promoter/promoter group or group companies. The proposed transaction does not constitute a Related Party Transaction and falls outside the scope of the Scheme of Arrangement.
