IRB InvIT Fund

IRB InvIT Fund has announced a trading window closure for its designated persons and their immediate relatives. The window will be closed from July 1, 2026, and will reopen 48 hours after the announcement of the financial results for the quarter ended June 30, 2026. This measure is in accordance with the Trust's Code of Conduct for Regulating, Monitoring and Reporting of Trading by Designated Persons. The announcement was made by Swapna Arya, Company Secretary & Compliance Officer of IRB Infrastructure Private Limited, the investment manager to IRB InvIT Fund.

IRB Tumkur Chitradurga Tollway Limited (IRBTC), a subsidiary of IRB InvIT Fund, has received an Arbitral Award dated June 25, 2026. The award pertains to a dispute with the National Highways Authority of India (NHAI) concerning the revocation of a deferment scheme and deferred premium calculations. IRBTC is directed to pay the deferred premium along with interest, to be determined by NHAI within 12 weeks, with payment due within a further 12 weeks. The tribunal's decision was not unanimous. IRBTC plans to protect its rights under the Concession Agreement and law.

IRB InvIT Fund announced that its Board of Directors has approved the convening of the 9th Annual Meeting of Unitholders on Thursday, July 23, 2026, to be held via Video Conferencing (VC) / OAVM. Additionally, the Board has approved the appointment of KPMG Valuation Services LLP as the Trust's Registered Valuer for the financial year 2026-27, subject to unitholder approval. This appointment includes the valuation of the Trust and its Project SPVs.

IRB InvIT Fund reported a 7% year-on-year increase in gross toll revenue for May 2026, reaching ₹1,656 million compared to ₹1,545 million in May 2025. This growth was observed across its various Special Purpose Vehicles (SPVs), with individual project revenues detailed for investor reference. IRB InvIT Fund has disclosed its Annual Secretarial Compliance Report for the year ended March 31, 2026, as per SEBI regulations. The report, issued by Mihen Halani & Associates, confirms compliance with SEBI regulations, including Infrastructure Investment Trusts Regulations, Listing Obligations, Insider Trading Regulations, and others. The total Net Assets amount to ₹1,04,143.00 million against outstanding units of 1,281.60. The valuation report, issued by KPMG Valuation Services LLP, includes enterprise valuation of 10 Special Purpose Vehicles (SPVs). Traffic reports from GMD Consultants were also considered in the valuation.

IRB InvIT Fund has released its annual full valuation report for assets for the fiscal year ended March 31, 2026. According to the valuation report by KPMG Valuation Services LLP, the Net Asset Value (NAV) at fair value per unit is ₹81.26 as of March 31, 2026. The total assets are valued at ₹1,92,811.58 million, liabilities at ₹88,668.57 million, resulting in net assets of ₹1,04,143.00 million. The valuation is based on traffic reports from GMD Consultants and complies with SEBI (Infrastructure Investment Trusts) Regulations, 2014.

IRB InvIT Fund reported no deviations or variations in the use of proceeds raised through the Institutional Placement and Preferential Issue for the quarter ended March 31, 2026. This is in accordance with the objects outlined in the Placement Document dated October 14, 2025, and the Explanatory Statement to the Notice of the Extra-ordinary Meeting dated October 8, 2025.
