The total land transferred admeasures approximately 69,823 sq. mtrs (17.25 acres). The sale is not expected to impact the company's operations and does not constitute a substantial undertaking as per the Companies Act, 2013. The purchaser is not related to the promoter group, and no promoters or key personnel have any interest in the transaction.

Mukand Ltd has completed a Slump Sale of its part of Industrial Machinery Business, namely designing, manufacturing, erecting and commissioning EOT Cranes, other materials handling and process plant equipment activities, to its wholly owned subsidiary, Mukand Heavy Engineering Limited (MHEL). The sale was conducted on a going concern basis, as per the Business Transfer Agreement (BTA) dated 18th October, 2025. The purchase consideration of Rs 45.78 Crs (Rupees Forty Five crores and Seventy Eight lacs) was discharged in the form of 26,347 equity shares fully paid up, issued and allotted by MHEL. This development is in line with the earlier intimation dated 16th May, 2025 and 18th October, 2025, as required under regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Mukand Ltd has executed two Conveyance Deeds for the sale of land parcels situated at village Dighe, Thane, Maharashtra. The sale includes 50% undivided share of 9,871 sq. mtrs of land and a portion of land admeasuring in aggregate approx. 57,386 sq. mtrs. The total consideration for the sale is Rs. 555,34,68,865/- after adjusting and appropriating Rs. 110,00,00,000/- being the part consideration earlier paid by the Purchaser. The sale of the balance land admeasuring approx. 12,437.38 sq. mtrs situated at village Kalwa will be completed in due course. The sale does not constitute an undertaking or substantially the whole of the undertaking for the Company and is not expected to have an impact on its operations.
