Vipul Limited announced that the National Company Law Tribunal (NCLT), New Delhi Bench, sanctioned the Scheme of Amalgamation of five wholly-owned subsidiaries with Vipul Limited. The order, passed on April 17, 2026, and received on April 22, 2026, makes the scheme binding on all transferor companies, the transferee company, their shareholders, and creditors. The amalgamation is effective from the Appointed Date of April 1, 2022. The subsidiaries involved are Abhipra Trading Private Limited, Graphic Research Consultants India Private Limited, United Buildwell Private Limited, Vineeta Trading Private Limited, and Vipul Eastern Infracon Private Limited. As the transferor companies are wholly-owned subsidiaries, no no-objection letter from stock exchanges was required, though BSE and NSE were duly intimated and raised no objections.

Vipul Limited has announced the closure of the trading window for all designated persons in accordance with the SEBI (Prohibition of Insider Trading) Regulations, 2015. The trading window will remain closed from April 01, 2026 till the expiry of 48 hours after the declaration of Audited Financial Results for the 4th Quarter and Financial Year ending on March 31, 2026 (Standalone and Consolidated). Mr. Punit Beriwala, Managing Director, CEO & CFO of the Company, has been arrested on 27.02.2026 by Economic Offcences Wing, Gurugram in relation to alleged offences pertaining to FIR No 544/2024. The Company is in the process of obtaining further details and will provide additional information as and when required and available, in compliance with applicable regulations. The arrest is in the nature of a personal proceeding against Mr. Punit Beriwala, and at this stage, the Company’s operations continue in the normal course. The Board/appropriate committee is evaluating suitable interim arrangements for the management of the affairs of the Company and any further decisions in this regard shall be intimated separately.

Vipul Limited has allotted 8,89,00,000 Fully Convertible Warrants on a preferential basis to various allottees, including Promoter & Promoter Group and Public categories. The warrants were issued at a price of Rs. 9.20/- per Warrant, amounting to a total of Rs.81,78,80,000/-. The allottees include individuals and entities such as Punit Beriwala, Om Aggarwal, Karnica Gupta, Blma Pay Technology Private Limited, Kapil Agrawal, Gourav Kumar, Manju Rani, Sourav Gupta, Ashok Kumar, Pinki Gupta, KSJ Estates Private Limited, Pine Emergence LLP, Vinita Jain, Pramod Kumar Jain, Aryaman Jain, and Renu Goyal. This allotment does not affect the Un-diluted Paid-up Equity Share Capital of the Company, which remains at Rs.14,09,59,480/- comprising of 14,09,59,480 Equity Shares of face value of Re. 1/- each.
