ZF Steering Gear India Ltd. has clarified the delay in disclosing intimation received on March 30, 2026, under Regulation 30 of the SEBI (LODR) Regulations, 2015. The company received orders from the Income Tax Department on March 27, 2026, via email, which comprised multiple emails for each assessment year separately, each containing detailed orders of around 50+ pages. The company undertook a detailed review and verification process to ensure accuracy and completeness of information before making any public disclosure. The disclosure was made on March 30, 2026, at 12.34 p.m, after the completion of the review and internal discussions. The orders did not result in any incremental financial impact on the Company as adequate provisions had already been made in the books and IT Demands already paid in earlier financial years.

ZF Steering Gear India Ltd has lost its claim for deduction under Sections 80-IA and 80-IB of the Income-tax Act, 1961 for Assessment Years 1995-96 to 2004-05. The Income Tax Appellate Tribunal, Pune Bench, had restored the matter to the file of the Commissioner of Income Tax (Appeals) for fresh adjudication. The CIT(A)-28, Delhi, has disposed of the appeals and disallowed the Company’s claim for deduction. The Company had already discharged the entire tax demand arising on account of such disallowances during the original assessment proceedings. The Company is in the process of filing rectification applications/further appeals before the higher appellate authorities against the orders.

ZF Steering Gear India Ltd has announced the closure of its trading window for designated persons and their immediate relatives, effective from April 1, 2026. The closure will remain in place until 48 hours after the declaration of the audited financial results for the quarter and year ended March 31, 2026. This action is in compliance with the SEBI (Prohibition of Insider Trading) Regulations, 2015, and the company's own Code of Conduct to Regulate, Monitor and Report Trading by Designated Persons.

The arm's length transaction was executed on March 18, 2026, with NexSteer joining as the Confirming Party in the Lease Deed with MIDC.

Pursuant to Regulation 16(1)(c) of the Listing Regulations, Metacast Auto Private Limited, a subsidiary of ZF Steering Gear (India) Limited, has been identified as a Material Subsidiary of the Company with effect from February 12, 2026. This identification is based on the criterion that the turnover of Metacast has exceeded 10% of the consolidated turnover of ZF India. Both companies will ensure that the necessary disclosures, governance norms, and compliance requirements for Material Subsidiary are adhered to.
