ABFRL Amalgamation Scheme Effective August 1, 2026

Aditya Birla Fashion and Retail Ltd (ABFRL) announced that the Scheme of Amalgamation involving Jaypore E-Commerce Private Limited and TG Apparel & Decor Private Limited has become effective from August 1, 2026. The National Company Law Tribunal (NCLT), Mumbai Bench, had sanctioned the scheme, and its certified copy was filed with the Registrar of Companies on July 10, 2026. The Appointed Date for the scheme was April 1, 2026. Jaypore E-Commerce is a wholly-owned subsidiary of ABFRL, and TG Apparel & Decor is currently not carrying any business activity and is also a wholly-owned subsidiary of ABFRL. This amalgamation is expected to streamline ABFRL's corporate structure.
