Amber Enterprises Subsidiary Acquires Remaining 1.5% Stake in Ascent Circuits

Amber Enterprises India Ltd's material subsidiary, IL JIN Electronics (India) Limited, has entered into a Share Swap Agreement to acquire the remaining 1.50% equity stake in Ascent Circuits Private Limited. The acquisition will be completed through the issuance of 13,120 Compulsorily Convertible Preference Shares (CCPS A2) by IL JIN to the seller. Upon completion, Ascent Circuits will become a wholly-owned subsidiary of IL JIN and Amber Enterprises. This transaction is classified as a related party transaction but is being conducted on an arm's length basis.
