BHEL Fined ₹22 Lakh by BSE/NSE for LODR Non-Compliance

Bharat Heavy Electricals Ltd (BHEL) has been fined ₹11,03,300 by both BSE and NSE, totaling ₹22,06,600, for non-compliance with SEBI (LODR) Regulations, 2015 for the quarter ending June 2026. The non-compliances relate to the composition of the Board of Directors, Audit Committee, Nomination and Remuneration Committee, Stakeholders Relationship Committee, and Risk Management Committee. Specifically, the company had fewer than 50% Non-executive/Independent Directors and lacked an independent woman director for part of the quarter. BHEL is seeking a waiver for these fines and is in regular communication with the Government of India for the appointment of requisite Independent Directors, as BHEL is a Government Company and directors are appointed by the Government.
