Coforge Ltd: Independent Director Resigns, Committees Reconstituted

Coforge Ltd announced the immediate resignation of Mr. DK Singh as Non-Executive Independent Director and Chairperson of the Nomination and Remuneration Committee (NRC). The Board has noted his resignation and he has ceased to be a member of all company committees. Mr. Vivek Sharma will serve as interim Chair until January 31, 2027, and will lead the search for new independent directors. The Board has reconstituted the NRC and Stakeholders' Relationship Committee (SRC), appointing Ms. Beth Boucher as the new Chairperson of the NRC. The resignation follows an internal audit review of the Board Evaluation Exercise, which raised concerns about the disclosure of performance ratings, particularly the Chairman's lowest rating, which was not discussed with the Board.
