
Maharaja Shree Umaid Mills acquires 33.86% stake in Kiran Vyapar Ltd
Maharaja Shree Umaid Mills Limited (MSUM) has acquired 92,38,132 equity shares, representing 33.8589% of Kiran Vyapar Limited (KVL)'s total paid-up equity share capital. This acquisition was executed through a Scheme of Amalgamation, sanctioned by the Hon'ble National Company Law Tribunal, Kolkata Bench, on March 16, 2026, with an effective date of April 25, 2026. The scheme involved 20 transferor companies amalgamating with MSUM. The company clarified that this acquisition is a transfer of shares amongst the existing promoter group and therefore does not result in any change in the aggregate shareholding of the promoter and promoter group of Kiran Vyapar Limited. Consequently, MSUM is exempt from the obligation to make an open offer under Regulation 10(1)(d)(iii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
