NIIT Learning Systems Subsidiary Acquires Bluewater Learning for up to $17.6M

NIIT Learning Systems Ltd announced that its wholly-owned subsidiary, NIIT (USA), Inc., has acquired 100% membership interest in Bluewater Learning, LLC, a Texas-based company specializing in Human Capital Management (HCM) learning technology. The acquisition, completed for an aggregate purchase price of up to USD 17.6 million (including performance-based earnouts over five years), aligns with NIIT's strategy for growth through new capabilities and geographic expansion. Bluewater Learning's estimated turnover for the twelve months ended September 30, 2026, was USD 8.5 million. This transaction strengthens NIIT's position in the HCM Learning Tech ecosystem and enhances its end-to-end transformation capabilities for clients. No government or regulatory approvals were required for the acquisition.
