The acquisition will occur in two phases, involving a secondary purchase of shares and a primary capital infusion. In Phase I, Recode will acquire a 33% stake for ₹8.32 Crore. The company aims to strengthen Aflairza's manufacturing, expand its product portfolio, enhance distribution, and increase its online and offline presence. Existing promoters will continue managing daily operations, with Recode nominating a board representative.
