Recode Studios to Acquire Up to 51% Stake in Aflairza Professionals

Recode Studios Limited has signed a Share Purchase Agreement (SPA) to acquire up to 51% equity stake in Aflairza Professionals Private Limited. The acquisition will be completed in two phases: Phase I, acquiring 33% by end of July 2026, and the remaining by February 2027. This involves both secondary acquisition from existing shareholders and subscription to fresh equity. The agreement outlines terms for board representation, voting rights, and governance. Ms. Palak Trehan has been appointed as Recode Studios' nominee director on Aflairza's board.
