NCLT Approves Veranda Learning's Scheme of Amalgamation
Veranda Learning Solutions Ltd announced that the National Company Law Tribunal (NCLT), Chennai Bench, has approved the Scheme of Amalgamation between its stepdown subsidiary, Veranda K-12 Learning Solutions Private Limited (Transferor Company), and its wholly-owned subsidiary, Veranda Administrative Learning Solutions Private Limited (Transferee Company). The amalgamation, effective from the appointed date upon filing with the Registrar of Companies, will result in the dissolution of the Transferor Company. This follows an earlier intimation dated August 5, 2025, and the NCLT order was uploaded on August 4, 2026.
