Altius Telecom Infrastructure Trust told the exchange on September 2 that it had received insider-trading (PIT) disclosures from BIF IV Jarvis India Pte. Ltd., a sponsor of the Trust, in connection with the sale of units. The disclosures record two market disposals: a small one of 2,50,000 units for ₹4.20 crore traded on September 1, and then the one that matters — 52,02,75,000 units (52.03 crore) sold for ₹8,584.54 crore on September 2, taking the sponsor's holding from 45.33% to 28.26% of the Trust.

The Trust informed BSE, under Regulation 7(2) read with Regulation 6(2) of the SEBI PIT Regulations and its PIT Code, that it received disclosures on September 2, 2026 from BIF IV Jarvis India Pte. Ltd., a sponsor of the Trust, in connection with the sale of certain units. The disclosed transactions are market sales: 2,50,000 units for ₹4.20 crore (traded September 1, holding 45.34% → 45.33%) and 52,02,75,000 units for ₹8,584.54 crore (traded September 2, holding 45.33% → 28.26%).

Read:Against a market cap of roughly ₹52,400 crore, the ₹8,584.54 crore sale is about 16% of the Trust changing hands by value (17% of units) — the arithmetic is ours, the filing states only the unit counts, values and holding percentages. The disclosure identifies the mode (market sale) but does not name the buyers or state a reason for the sale.

The intimation reached the exchange at 17:12 IST on September 2 — after the market close — so the first session that could trade on the disclosure itself is September 3. But the sale was executed during the September 2 session, and the tape shows it: 73.14 crore units changed hands that day, against 2.75 lakh units the session before. The disclosed 52.03 crore-unit block accounts for the bulk of that volume.

Dividing the disclosed value by the disclosed unit count — our arithmetic, not a number in the filing — the large block works out to exactly ₹165.00 per unit. That is about 4% below the September 2 close of ₹172, and matches the Trust's 52-week adjusted low of ₹165 to the paisa (touched June 16). The filing itself does not state a sale price.

This is normally a thin tape: most sessions in the last 60 traded between 25,000 and a few lakh units, and the price has held a narrow ₹165–178 band all year, with the 52-week high of ₹178.20 set on August 25. The only prior session of comparable size was June 16, at 22.51 crore units. September 2's 73.14 crore units is the heaviest session in the 60-day window — and the unit still closed up 1.2% at ₹172, which suggests the block found buyers without breaking the traded price band. How the unit opens on September 3, once the disclosure is public, is the actual test.

Same evening: distribution board meeting called for September 5

In a separate filing at 18:50 IST the same day, the Trust intimated that a meeting of the Board of Directors of Data Link Investment Manager Private Limited, its Investment Manager, is scheduled for Saturday, September 5, 2026, inter alia to consider and declare a distribution to unitholders. The record date, if the distribution is declared, will be Wednesday, September 9, 2026; the trading window closes per the Trust's PIT code.

Read:Whoever holds units on the September 9 record date collects any distribution declared on September 5 — that now includes whoever bought the 52.03 crore units. The two filings arrived 98 minutes apart but neither references the other.

One more piece of recent context belongs on the record. On August 6, the Conversion Committee of the Investment Manager's board approved the filing of a Draft Offer Document with SEBI "in relation to the Offer", pursuant to a unitholder approval dated April 21, 2026. The Trust also published its Q1 FY27 results and investor presentation on August 12. None of the filings states any connection between the Offer process and the sponsor's sale — reading one into the other would be inference, and the documents so far do not support it either way.

    Progress on the Draft Offer Document filed August 6 — the filings do not say whether it and the sponsor sale are related, and further documents may.

What is on the record is narrow and precise: a sponsor of the Trust sold 52.03 crore units in the market for ₹8,584.54 crore on September 2, retaining 28.26%, and disclosed it the same day under the PIT Regulations. The filing gives no reason and names no buyers, and at roughly 17% of the units of a ₹52,400 crore trust, it is a change in the unit register that unitholders will want explained by subsequent documents rather than by speculation.

The near-term calendar does the explaining on its own schedule: the September 3 session prices the news, the September 5 board meeting decides a distribution with a September 9 record date, and the next unitholding pattern will show where the units went. Until those arrive, the verifiable facts are the ones in the table above.
