Mr. Manan Shah, an Independent Director of Faze Three Ltd, has resigned from the Board of Directors and its associated committees (Audit, Nomination & Remuneration, Stakeholders Relationship, and CSR) effective June 10, 2026. The resignation is due to personal reasons, and Mr. Shah has confirmed there are no other material reasons. He has also confirmed no other directorships or committee memberships in other listed entities.

Faze Three Ltd's Board of Directors approved the audited standalone and consolidated financial results for the quarter and financial year ended March 31, 2026, following the recommendation of the Audit Committee. Following this, Faze Three Ltd has applied for reclassification from the 'Promoter' category to the 'Public' category under Regulation 31A(10) of the SEBI LODR Regulations. The company is no longer associated with the business or management of Megamont Limited, nor does it exercise any control over its affairs or participate in its day-to-day activities, thereby ceasing to be a related party.

Faze Three Ltd. has announced the closure of the trading window for all Directors, Promoters, Designated Persons, and their immediate relatives from April 01, 2026 until 48 hours after the conclusion of the Meeting of the Board of Directors. The meeting is scheduled to consider the Audited Financial Results/Statements of the Company for the Fourth Quarter and Financial Year ended March 31, 2026. The date of the meeting will be intimated in due course.

According to a disclosure made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011, Ajay Anand and Persons Acting in Concert (PAC) have acquired a significant stake in Faze Three Limited. The acquisition was made through the purchase of equity shares from the open market. The total holding of Ajay Anand and PAC before the acquisition was 34.78%, which increased to 57.95% post-acquisition. The total equity share capital of the company remains the same at Rs. 24,31,90,000/- (2,43,19,000 Equity Shares of Face Value of Rs 10/- Each) before and after the acquisition.
