Terai Tea Company Ltd has transferred the 47.73% share holdings held in its associate company, Terai Dooars Tea Co. Pvt Ltd, to Mr. Uday Narayan Sharma. This transaction resulted in Terai Dooars Tea Co. Pvt Ltd ceasing to be an associate of Terai Tea Company Limited. The transaction took place on March 30, 2026, but was inadvertently not intimated to the Stock Exchange within the prescribed timeline. The details of the transaction are provided in Annexure A.

Terai Tea Company Limited has decided and approved to disinvest the 47.73% share holdings held in Terai Dooars Tea Co. Pvt Ltd, an Associate of the Company, to Mr. Uday Narayan Sharma. The shares shall be transferred in due course, resulting in Terai Dooars Tea Co. Pvt Ltd ceasing to be an Associate of Terai Tea Company Limited w.e.f March 30, 2026. The cost of materials consumed is Rs. 13,040.00 lakhs for the third quarter and Rs. 35,394.00 lakhs for the nine months ended. The profit for the period is Rs. 1,33,091.00 lakhs for the third quarter and Rs. 3,68,08.00 lakhs for the nine months ended. The company's tax expense has been recognized only in the year-end accounts due to the seasonal nature of the tea industry. The financial results have been reviewed by the Audit Committee and approved by the Board of Directors.
