The acquisition occurred on June 16, 2026, through an inter-se transfer from Alpha Stitch-Art Pvt. Ltd., a related promoter entity. An additional 3,500 shares were acquired from the open market. This transaction was conducted under exemption regulations, with prior disclosure made on June 9, 2026. Following the transaction, Pinky Rungta's shareholding increased to 34.38%, while Alpha Stitch-Art Pvt. Ltd.'s holding decreased to 8.87%. The total consideration for the inter-se transfer was approximately ₹51.88 lakhs.

Mrs. Pinky Rungta will acquire these shares from Alpha Stitch-Art Pvt. Ltd. This transaction is being conducted under Regulation 10(1)(a)(ii) of the SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011, which exempts such transfers among promoters from making an open offer. The transfer is expected to occur on or after June 16, 2026. The VWAP for the last 60 trading days on BSE was ₹50.50. The acquisition price will not exceed 25% above this VWAP. This transfer will not alter the overall shareholding percentage of the promoter group.
